司太立(603520.SH)擬聯合國投聚力等共設產業基金
格隆匯 11 月 25日丨司太立(603520.SH)公佈，公司聯合國投聚力投資管理有限公司(“國投聚力”)、國投聚力併購股權投資基金(上海)合夥企業(有限合夥)(“國投併購”)、德清耀佳投資管理合夥企業(有限合夥)(“德清耀佳”)以及國投聚力跟投員工陳兆鬆、王英、羅金寶、鍾丞、夏境宏共同發起設立有限合夥型產業基金，基金名稱為嘉興聚力司太立股權投資合夥企業(有限合夥)(暫定名，最終名稱以工商登記信息為準)。產業基金以合夥制方式設立，總募集規模為人民幣10億元，其中國投聚力出資0.8%作為產業基金普通合夥人(GP)；公司出資38.65%、國投併購出資58%，德清耀佳出資2%,國投聚力跟投員工共出資0.55%作為產業基金有限合夥人(LP)。本合夥企業進行分期實繳出資，其中首次出資為人民幣2億元，各出資人按照出資比例進行認繳。
基金名稱：嘉興聚力司太立股權投資合夥企業(有限合夥)(暫定名，最終名稱以工商登記信息為準)投資方向：以司太立相關子公司、造影劑產業上下游及醫藥相關產業優質標的進行控股或參股投資。
此次投資的目的主要是公司為抓住全球造影劑市場發展機遇，依託基金管理人的行業經驗、管理和資源優勢、拓寬投資渠道，進一步優化資本結構和資源配置，加強公司行業地位和核心競爭優勢，增強企業未來在造影劑市場及醫藥行業其他領域的可持續發展動力。
此次投資設立產業基金，公司可以藉助專業投資機構在產業上下游的資源及資金募集渠道和專業投資判斷能力，一方面可以為公司尋找投資機會，通過投資優質標的獲得較好的財務投資回報；另一方面也有助於公司尋找優質標的，為公仔在造影劑領域的產業整合提供支持，實現資本與產業的有機結合，為公司通過外延式擴張的方式快速做大做強提供支持，而且前期通過產業基金對公司看好的擬投資的標的企業進行培育，可以降低公司直接投資帶來的風險。
