愛施德(002416.SZ)：擬與團隊持股平台共同出資 增加共青城酷桂在星盟信息的認繳出資額
格隆匯 11 月 25日丨愛施德(002416.SZ)公佈，公司為持續推進與榮耀品牌的戰略合作，公司控股子公司共青城酷桂投資合夥企業(有限合夥)(“共青城酷桂”)與天音通信有限公司(“天音通信”)、深圳市鯤鵬展翼股權投資管理有限公司(“鯤鵬展翼”)、北京鬆聯科技有限公司(“鬆聯科技”)、北京普天太力通信科技有限公司(“普天太力”)、中國郵電器材集團有限公司(“中郵集團”)簽訂《深圳市星盟信息技術合夥企業(有限合夥)之合夥協議》，共同投資設立了深圳市星盟信息技術合夥企業(有限合夥)(“星盟信息”)，合夥企業認繳總規模為137678萬元人民幣，其中共青城酷桂初始認繳出資額為3000萬元人民幣，佔出資總額的2.18%。星盟信息已經受讓深圳國資協同發展私募基金合夥企業(有限合夥)持有的深圳市智信新信息技術有限公司的部分股權。深圳市智信新信息技術有限公司已與華為投資控股有限公司簽署了收購協議，完成對榮耀品牌相關業務資產的全面收購。
為持續深化雙方長期良好的戰略合作伙伴關係，作為榮耀品牌的線上線下全渠道服務商，公司擬與團隊持股平台共青城愛耀投資合夥企業(有限合夥)(“共青城愛耀”)共同出資，增加共青城酷桂在星盟信息的認繳出資額。星盟信息完成本輪增資後，共青城酷桂將持有星盟信息6.6億元的出資份額，佔出資總額的23.72%。
此次投資是為了通過星盟信息參與對榮耀品牌相關業務資產的聯合收購。榮耀品牌的獨立是一次匯聚了產業鏈各方力量的市場化投資，在全體股東的全力支持下，新榮耀將在資源、品牌、生產、渠道、服務等方面更好地汲取各方優勢，更高效地參與到市場競爭中。
參與此次收購對公司具有戰略意義，將有利於進一步強化公司與榮耀廠商的戰略合作伙伴關係，利用雙方優勢，發揮協同效應，探索多元化的商業機會，豐富公司的3C數碼產品矩陣，搶抓5G時代的萬物互聯機遇，促進公司的新零售戰略快速推進，符合公司及其股東利益。
