海瀾之家(600398.SH)：公司控股股東上層股權結構發生變動
格隆匯 11 月 25日丨海瀾之家(600398.SH)公佈，公司於2020年11月25日收到控股股東海瀾集團的通知，海瀾集團上層股權結構發生了變動。
截至公告日，海瀾集團持有公司1,765,971,703股股份，佔公司總股本的40.88%，為公司控股股東。此次變動前，江陰市海瀾投資控股有限公司(“海瀾控股”)持有海瀾集團100%的股權。周建平、周立宸、周晏齊分別持有海瀾控股的股份比例為52.00%、3.90%、5.00%，周建平為公司實際控制人，周立宸和周晏齊為周建平的一致行動人。
周建平分別與周立宸、周晏齊簽署了《股權轉讓協議》，周建平將其持有的海瀾控股23.10%的股權轉讓給周立宸，將其持有的海瀾控股0.90%的股權轉讓給周晏齊。
根據周建平與周立宸簽署的《股權轉讓協議》約定，自雙方交易交割日起，為保持海瀾控股及海瀾之家控制權的穩定，雙方將在海瀾控股及海瀾之家的經營決策中保持一致行動。雙方作為海瀾控股的股東，應共同向海瀾控股的股東會提出議案，任一方不得單獨或聯合第三方向海瀾控股的股東會提出未經與另一方充分協商並達成一致意見的議案；對於前述共同提出的議案，在表決時雙方均應投同意票；對於非由本協議任何一方提出的議案，雙方應當在海瀾控股的股東會召開前，就該議案進行充分協商並達成一致意見，並按協商一致的立場行使表決權；若雙方經協商無法達成一致的，雙方同意應以周建平的意見為準，周立宸在行使相應表決權時應與周建平保持一致，維護周建平的控制地位。
此次交易完成後，海瀾控股仍持有海瀾集團100%的股權。周建平、周立宸、周晏齊分別持有海瀾控股的股份比例為28.00%、27.00%、5.90%，周建平和周立宸、周晏齊為一致行動人，周建平為公司的實際控制人。
此次變動完成後，公司的控股股東仍為海瀾集團，周建平仍為公司的實際控制人。此次控股股東上層股權結構變動不會導致公司控股股東和實際控制人發生實質變化。
