3日2板的天齊鋰業(002466.SZ)：公司和控股股東層面仍在積極開展戰略投資者引入等相關工作
格隆匯 11 月 24日丨3日2漲停的天齊鋰業(002466.SZ)發佈股票交易異常波動公告，公司目前經營情況正常，內外部經營環境未發生重大變化，公司境內的張家港基地、射洪基地、重慶基地生產經營正常進行；
公司未發現近期公共傳媒報道了可能或已經對公司股票交易價格產生較大影響的未公開重大信息；
公司、控股股東和實際控制人不存在應披露而未披露的重大事項或處於籌劃階段的重大事項；
公司於2020年5月19日披露了《關於控股股東減持股份的預披露公告》，截至目前，控股股東成都天齊實業(集團)有限公司(“天齊集團”)的減持計劃尚未執行完畢。根據天齊集團減持情況，公司分別於2020年7月8日、2020年7月22日、2020年10月31日披露了《關於控股股東減持股份比例達到1%的公告》，並於2020年11月11日披露了《簡式權益變動報告書》。2020年11月24日，公司收到天齊集團的書面告知函，其於2020年11月19日至2020年11月24日期間通過集中競價交易方式合計減持其所持公司股份200萬股，約佔公司總股本的0.14%；通過大宗交易的方式減持其所持公司股份1328萬股，佔公司總股本的0.90%。
公司於2020年11月14日披露了《重大風險事項進展公告》。按照公司此前與中信銀行股份有限公司牽頭的併購貸款銀團簽署的相關協議，併購貸款中的18.84億美元將於2020年11月底到期，佔公司最近一期經審計淨資產的179.35%。此外，公司暫緩支付2020年內到期的部分併購貸款利息(截至目前，累計應付未付銀團併購貸款利息金額約4.71億元人民幣，佔公司最近一期經審計淨資產的6.76%)。如果公司未來在償付債務本息方面遭遇困難，公司的業務、經營業績、資金狀況、財務狀況及日常生產經營都存在受到重大不利影響的可能性。
針對即將到期的大額債務，儘管公司已經向銀團正式提交了調整貸款期限結構的申請，截止公告披露日，銀行展期手續尚在審核中，公司還未獲得銀團確定同意的批覆文件亦未就此與銀團簽署相關協議。另外，公司和控股股東層面仍在積極開展戰略投資者引入等相關工作，但截至目前尚未簽署具有法律約束力的戰略投資者引入協議。
上述事項未來若有更新進展，公司將及時履行信息披露義務。
