沙鋼股份(002075.SZ)：擬收購蘇州卿峯100%的股權 明起復牌
格隆匯 11 月 24日丨沙鋼股份(002075.SZ)披露發行股份及支付現金購買資產並募集配套資金暨關聯交易報告書(草案)，公司擬以發行股份及支付現金相結合的方式收購蘇州卿峯100%的股權。此次交易完成後，公司將直接持有蘇州卿峯100%的股權。經計算，此次交易標的資產作價約為188.14億元。
蘇州卿峯為持股型公司，本部未經營業務，其核心資產為其通過全資子公司EJ持有的Global Switch51%的股權。Global Switch總部位於倫敦，是歐洲和亞太地區領先的數據中心業主、運營商和開發商，系目前全球數據中心行業內擁有最高信用評級的企業之一(惠譽BBB、標準普爾BBB、穆迪Baa2)。Global Switch現有13個數據中心，分佈在阿姆斯特丹、法蘭克福、香港、倫敦、馬德里、巴黎、新加坡、悉尼1等8個區域核心城市，總建築面積達到39.27萬平方米、總電力容量為369兆伏安。此外，Global Switch已計劃在倫敦、阿姆斯特丹、巴黎、香港等城市中心區域改擴建現有數據中心或者建設新的數據中心，預計新增總建築面積達到9.20萬平方米、新增電力容量161兆伏安，分別較現有水平增長23.43%、43.63%。全部建設完成後，Global Switch將擁有高達48.47萬平方米的數據中心，合計電力容量達到530兆伏安，進一步提高其在歐洲和亞太地區的覆蓋率，鞏固行業領先的地位。
蘇州卿峯同時持有德利迅達12%的股權，截至2020年6月30日，鑑於德利迅達香港未按時向Global Switch支付租金並違約，且無法獲得其經營情況，蘇州卿峯已對該股權投資全額計提減值準備。蘇州卿峯擬將其持有的德利迅達12%的股權對外轉讓，目前尚未有明確的意向受讓方，為了避免該等股權轉讓對此次交易產生影響，此次交易不再將德利迅達12%的股權納入標的資產範圍。根據上市公司與交易對方的約定及蘇州卿峯的股東會決議，上述德利迅達12%的股權對外轉讓完成後，蘇州卿峯將向2020年11月2日登記在冊的全體股東按其持股比例分配所得款項。
此次交易公司擬通過收購蘇州卿峯100%的股權，進入數據中心行業，符合國家發展大數據的戰略規劃，符合“一帶一路”倡議，對於境內外數據中心業務的發展佈局具有重要意義。此次交易完成後，公司主營業務將由特鋼業務轉為特鋼、數據中心雙主業共同發展，實現公司業務結構調整和轉型發展，以提升公司資產規模、盈利能力，增強市場競爭力和抗風險能力。
經公司向深圳證券交易所申請，公司股票自2020年11月25日(星期三)開市起復牌。
