中手遊(00302.HK)擬先舊後新配售1.8億股 淨籌約5.37億港元
格隆匯 11 月 24日丨中手遊(00302.HK)發佈公告，2020年11月24日(交易時段前)，公司分別就配售事項及認購事項訂立配售協議及認購協議。根據配售協議，配售代理有條件同意擔任賣方的代理(僅此責任)盡最大努力按配售價每股3.02港元配售1.8億股現有股份。根據認購協議，賣方有條件同意按配售價認購(公司已有條件同意向賣方配發及發行)與配售代理所配售的配售股份相同數目的新股份。
於該公告日期，賣方Fairview Ridge Investment Limited持有693,309,425股股份，相當於公司現有已發行股本約29.75%。賣方由動力遊戲娛樂有限公司全資擁有，而動力遊戲娛樂有限公司由Profound Power Investment Limited全資擁有，Profound Power Investment Limited 則由Changpei Cayman全資擁有。Changpei Cayman的普通合夥人為Ambitious Profit Investment Limited，該公司分別由肖健先生(執行董事、董事會董事長及控股股東 )的家族信託透過中手遊兄弟有限公司及冼漢迪先生(執行董事、董事會副董事長及控股股東)透過Silver Joyce International Limited間接擁有64%及36%的權益。
1.8億股現有股份相當於公司於該公告日期已發行股本約7.72%及經認購事項擴大後的已發行股本約7.17%。公司將向聯交所申請批准認購股份上市及買賣。公司將自認購事項收取的所得款項淨額(已扣除相關費用及開支)估計將約為5.37億港元。
公告表示，集團為領先的IP遊戲運營商及發行商，主要聚焦於與著名文化產品及藝術作品有關的IP。公司擬透過收購及╱或投資1)擁有良好研發能力的領先遊戲開發商及2)在大中華與受歡迎的及具有潛力的動畫、文學作品、遊戲及電影有關的強大IP將認購事項所得款項淨額用於進一步提升其IP遊戲發行及開發業務。於該公告日期，公司概無就使用所得款項淨額確定特定收購或投資目標。配售事項及認購事項是為公司籌集資金同時擴大其股東及資本基礎的機會。配售事項及認購事項將加強集團的財務狀況，併為集團提供營運資金。
