蘇美達(600710.SH)：國機集團分別與國機重工、常林有限簽署股份轉讓協議書
格隆匯 11 月 23日丨蘇美達(600710.SH)公佈，2020年11月23日，國機集團分別與國機重工、常林有限簽署《關於蘇美達股份有限公司之股份轉讓協議書》。國機重工、常林有限分別將其持有的公司股份122,105,200股(佔公司股份總數的9.34%)、2000萬股(佔公司股份總數的1.53%)以及由此所衍生的所有股東權益，轉讓給國機集團。
截至目前，國機集團直接持有公司303,521,199股股份，佔公司總股本的23.23%，為公司控股股東；同時，通過國機重工間接控制公司122,105,200股股份，通過國機資本控股有限公司間接控制公司52,790,346股股份，通過國機財務有限責任公司間接控制公司45,248,868股股份，通過常林有限間接控制公司4000萬股股份，通過國機資產管理有限公司間接控制公司15,082,956股股份，通過鄭州國機精工發展有限公司間接控制公司15,082,956股股份，通過中國福馬機械集團有限公司間接控制公司14,305,840股股份，通過中國電器科學研究院股份有限公司間接控制公司7,541,478股股份，通過合肥通用機械研究院有限公司間接控制公司7,541,478股股份，合計控制公司623,220,321股股份，佔公司總股本的47.69%，為公司的控股股東、實際控制人。此次股份轉讓如順利實施，國機集團直接持有公司股份將增加至445,626,399股，佔公司總股本的34.10%，同時通過下屬公司持有公司177,593,922股股份，合計控制公司623,220,321股股份，佔公司總股本的47.69%，國機集團仍為公司控股股東及實際控制人。
此次權益變動實施前，國機重工持有公司122,105,200股股份，佔公司總股本的9.34%，為公司大股東及控股股東一致行動人。此次權益變動完成後，國機重工將不再持有公司股份。
此次權益變動實施前，常林有限持有公司4000萬股股份，佔公司總股本的3.06%，為公司控股股東一致行動人。此次權益變動完成後，常林有限持有公司2000萬股股份，佔公司總股本的1.53%，仍為公司控股股東一致行動人。
