金山辦公(688111.SH)：特定股東及董監高承諾不通過二級市場競價交易減持公司股份
格隆匯 11 月 23日丨金山辦公(688111.SH)公佈，公司於2020年11月20日收到股東天津奇文五維企業管理諮詢合夥企業(有限合夥)、MS TMT HoldingII Limited、GGV(WPS) Limited、Shunwei Internet(Hong Kong)Limited出具的《聲明和承諾函》及公司董事、監事、高級管理人員出具的《關於所持股份的流通限制和自願鎖定的承諾函》。
截至公告披露日，公司股東天津奇文五維企業管理諮詢合夥企業(有限合夥)持有公司股份3725.7612萬股，佔公司總股本的8.08%；公司股東MS TMT Holding II Limited持有公司股份2400萬股，佔公司總股本的5.21%；公司股東GGV(WPS) Limited持有公司股份1200萬股，佔公司總股本的2.60%；公司股東Shunwei Internet(Hong Kong)Limited持有公司股份600萬股，佔公司總股本的1.30%。
為減少二級市場對公司股價的波動，支持公司穩定健康發展，維護全體股東利益，公司上述股東自願作出以下承諾：
自2020年11月18日起未來的6個月內不通過二級市場競價交易方式減持持有的金山辦公股份，包括承諾期間該部分股份所對應的因金山辦公發生資本公積轉增股本、派送股票紅利、配股、增發等產生的股份。在承諾期內，若違反上述承諾，則自願將其減持股份的全部所得上繳給公司。
董事、監事及高級管理人員承諾事項的主要內容：本人間接持有公司的股份，並擔任公司的董事/監事/高級管理人員，鑑於本人通過員工持股平台持有的公司限售股將於2020年11月18日起上市流通，本人自願承諾如下：
自限售股流通日起六個月內，本人不得以集中競價交易的方式減持本人通過員工持股平台間接持有的公司首次公開發行股票前已發行的股份。若本人未履行上述承諾，本人減持的該等公司股份所得收益歸公司所有。
