富通鑫茂(000836.SZ)擬向控股股東富通科技出售5958萬元資產
格隆匯11月20日丨富通鑫茂(000836.SZ)發佈，公司於2019年3月23日召開的第七屆董事會第四十八次會議審議通過《關於收購資產暨關聯交易的議案》，並與關聯方鑫茂集團簽署《資產轉讓協議》，公司擬收購鑫茂集團投資建設的位於天津市西青區楊柳青鎮津靜公路南側、柳口路西側的工業廠房(以下簡稱“標的廠房”)的開發成本全部權益，交易金額為4250萬元。
因各種原因上述標的資產產權辦理權證進展緩慢，若到期不能完成過户，承諾方資金返還及一般擔保需要一定履行週期，不利於上市公司發揮資金效率；且因公司為提升運營效率，降低成本，將計劃逐步整合優化光纜產能，整合後上述標的資產可不作為必須的光纜生產場所。
鑑於上述情況，公司擬與控股股東富通科技簽署《資產轉讓協議》，將上述標的廠房的開發成本全部權益以及公司控股子公司天津光纜因生產經營所需對廠房的裝修、改造工程(以下簡稱“標的資產”)轉讓給富通科技，交易價格為5958.00萬元。作為標的資產轉讓條件之一，公司可無償使用上述標的資產至對應土地租賃合同到期日(2021年4月11日)，期間富通科技不向公司收取標的資產租賃費。土地租賃合同到期後，若公司因經營需要繼續租賃標的廠房的，公司將按照規定與富通科技簽署相關廠房租賃協議並履行審批與信息披露義務。
公司擬轉讓標的資產包括2019年4月公司向鑫茂集團收購的上述標的廠房的開發成本全部權益以及天津光纜因生產經營所需對廠房的裝修、改造工程。標的廠房房屋建築物具體包括生產檢測中心、光纖綜合廠房(包括生產車間及辦公用樓)、包裝車間和光纜配套廠房(A、B、C座)等，總建築面積共計3.33萬平方米，土地使用權歸柳晨公司所有，由鑫茂集團投資建設，2010年10月起由天津光纜向鑫茂集團租賃使用。2019年3月，因租賃期限即將到期，為了維護公司生產經營系統的完整性，減少關聯交易，公司董事會決定收購上述資產，並於2019年4月11日完成了收購。
本次轉讓資產有利於優化資源配置，有利於控制風險，順應公司經營發展的需要，不存在損害公司及股東利益的情況。本次轉讓資產預計產生的淨收益為1280.00萬元左右，上述淨收益為非經常性損益，最終以定期報告披露的數據為準。
