立訊精密(002475.SZ)擬使用募集資金對子公司崑山聯滔、崑山立訊科技增資 以實施募投項目
格隆匯 11 月 20日丨立訊精密(002475.SZ)公佈，公司於2020年11月20日召開第四屆董事會第二十六次會議和第四屆監事會第二十六次會議，審議通過了《關於使用募集資金對全資子公司崑山聯滔電子有限公司增資的議案》、《關於使用募集資金對全資子公司立訊電子科技(崑山)有限公司增資的議案》，同意公司使用募集資金對相關子公司進行增資。具體情況如下：
1、公司此次公開發行可轉債募投項目“智能移動終端模組產品生產線技改擴建項目”的實施主體為全資子公司崑山聯滔電子有限公司(“崑山聯滔”)，為順利推進募投項目的實施，董事會同意公司使用募集資金人民幣11億元對全資子公司崑山聯滔進行增資，全部計入註冊資本。此次增資完成後，崑山聯滔的註冊資本將由12.2億元增加至23.2億元，公司仍持有其100%的股權。
2、公司此次公開發行可轉債募投項目“智能可穿戴設備配件類產品技改擴建項目”的實施主體為全資子公司立訊電子科技(崑山)有限公司(“崑山立訊科技”)，為順利推進募投項目的實施，董事會同意公司使用募集資金人民幣6億元向全資子公司崑山立訊科技進行增資，全部計入註冊資本。此次增資完成後，崑山立訊科技的註冊資本將由16億元增加至22億元，公司仍持有其100%的股權。
3、公司此次公開發行可轉債募投項目“年產400萬件智能可穿戴設備新建項目”的實施主體為全資子公司立訊智造(浙江)有限公司(“立訊智造”)，為順利推進募投項目的實施，公司於2019年10月21日召開第四屆董事會第十二次會議審議通過了《關於增資立訊智造(浙江)有限公司的議案》，公司以自有資金人民幣6億元增資立訊智造先行投入募投項目。根據相關規則，公司將根據預先投入資金的具體使用情況於規定期限內使用募集資金對預先投入自有資金進行置換。
公司此次使用募集資金對全資子公司崑山聯滔、崑山立訊科技增資以實施募投項目，符合相關法律法規及公司《募集資金管理辦法》的規定，符合公司《公開發行可轉換公司債券募集説明書》披露並承諾的募集資金計劃用途，不存在改變或者變相改變募集資金投資項目和損害公司股東利益的情形，符合公司未來發展的需要和全體股東的利益，有利於保障募集資金投資項目的順利實施
