睿能科技(603933.SH)有意收購奇電電氣84.04%股權
格隆匯11月20日丨睿能科技(603933.SH)公佈，為進一步完善公司在工業自動化領域的戰略佈局，2020年11月20日，公司(甲方)與自然人劉國鷹、吳海龍、朱志國、張斌、吳偉華、曹坤(以下合稱“乙方”)等簽署了《股權收購意向書》(“意向書”)，各方就公司擬以現金方式收購上海奇電電氣科技股份有限公司(“奇電電氣”、“標的公司”)控股權的事項達成初步意向。
甲方擬收購乙方合計持有標的公司84.04%的股權(乙方擬設立或與其他股東共同設立一個合夥企業，該合夥企業將受讓其現持有的標的公司的部分股權。若前述合夥企業設立及股權轉讓事宜在本次收購正式協議簽訂前完成，則該合夥企業將為此次收購的轉讓方之一)。乙方將努力促成其他股東向甲方出讓股份。此次最終收購標的公司的股權比例以及具體轉讓方以後續簽訂的《股權轉讓協議》為準。
標的公司奇電電氣專業從事變頻器、軟起動器的研發、生產和銷售。奇電電氣擁有先進的裝配流水線、全自動測試台、高温老化室等生產測試設備，建立了一整套完備的來料、生產、檢驗、工程試驗流程。現有主要產品為QD6600工程專用變頻器、QD6000通用變頻器、QDS低壓軟起動器、QDS-G高壓固態軟起動器。這些產品廣泛應用於機牀、金屬製品、塑膠、印刷包裝、紡織化纖、建材、冶金、煤礦、市政等行業。
標的公司奇電電氣已通過IOS9001:2008質量管理體系認證，其產品已通過德國TUV認證並擁有國內第三方權威機構出具的檢測報告。奇電電氣已取得了多項發明專利、實用新型專利和軟件著作權。
此次合作是公司擴展工業自動化控制產品線，完善工業自動化領域佈局的重要戰略舉措。
工業自動化業務是公司的戰略業務之一。公司積極擴展工業自動化控制產品線，從針織設備、縫製設備等專用控制系統向伺服驅動系統等通用自動化產品延伸，不斷豐富控制層、驅動層、執行層產品，為客户提供領先的工業自動化解決方案。
此次合作涉及變頻器、軟啟動器產品屬於工業自動化驅動層產品，是工業自動化控制系統的核心部分。奇電電氣主要從事變頻器和軟啟動器等交流傳動產品的研發、生產和銷售，經過多年的行業浸潤和技術沉積，其主要產品在石化、造紙和冶金等部分細分市場取得了良好的市場競爭地位。在傳統行業電機節能改造、裝備製造業升級，以及新興產業崛起的推動下，變頻器、軟起動器等產品存在較大的市場需求，為持續快速發展提供有力保障。
此次合作是基於公司製造業務的戰略佈局，快速拓展公司工業自動化業務的重要舉措，有助於豐富工業自動化產品種類，增強公司核心競爭力。
奇電電氣的變頻器、軟啟動器產品和公司的伺服驅動器產品同屬於工業自動化驅動層產品，雙方在研發、生產、上下游渠道方面均會形成優勢互補，在多方面產生協同效應，公司業務範圍得以拓展，進一步整合資源，以提升公司的業務規模及盈利水平，對公司的可持續發展具有積極意義。
