沙鋼股份(002075.SZ):擬調整重大資產重組方案 11月19日起停牌
格隆匯 11 月 18日丨沙鋼股份(002075.SZ)公佈,2018年11月15日,公司召開第六屆董事會第十次會議,審議通過了《關於公司發行股份及支付現金購買資產並募集配套資金暨關聯交易方案的議案》等相關議案,公司擬以發行股份及支付現金的方式購買蘇州卿峯投資管理有限公司的股權並募集配套資金。
公司擬對重大資產重組方案作出調整,涉及新增發行股份購買資產的交易對方,根據《<上市公司重大資產重組管理辦法>第二十八條、第四十五條的適用意見——證券期貨法律適用意見第15號》,預計將構成對方案的重大調整。
經向深圳證券交易所申請,公司股票自2020年11月19日開市起停牌,預計停牌不超過5個交易日,預計將不晚於2020年11月26日開市起復牌。
