ST羅普(002333.SZ)擬1.9344億元購買中億豐科技80%股權
格隆匯 11 月 18日丨ST羅普(002333.SZ)公佈，公司於2020年11月18日與王安立、展樹軍、蘇州立長投資合夥企業(有限合夥)、中億豐控股集團有限公司簽署《關於蘇州中億豐科技有限公司之股權轉讓協議》，公司擬以現金方式購買王安立所持中億豐科技31.125%股權、展樹軍所持中億豐科技5.250%股權、蘇州立長投資合夥企業(有限合夥)所持中億豐科技23.625%股權、中億豐控股集團有限公司所持中億豐科技20%股權。此次交易資金來源為公司自有資金，成交總價格1.9344億元。
中億豐科技是一家以智能化施工和設計諮詢為主營業務的國家級高新技術企業。中億豐科技定位於智慧城市建設服務運營商，涉足業務主要有智慧建築、智慧醫療、智慧教育、智慧交通、智慧文旅、智慧養老等。
中億豐科技具有電子與智能化工程專業承包一級資質、建築智能化系統設計專項甲級資質、安防工程企業設計施工維護一級資質、音視頻系統集成一級資質。
中億豐現有盈利模式主要為：公司智能化工程業務主要面向住宅樓宇、商業地產、隧道交通、醫院等，是集設計、設備採購、施工、安裝、調試、試運行等一直到竣工交付使用的一站式服務，收取相應的工程合同款以獲取利潤。與此同時，公司還為客户提供整體智能化解決方案，並向智慧城市的各個方向延伸，逐步打造成一流的智慧城市解放方案提供商。
公司主營業務年內實質性切入建築工程領域市場，標的公司以建築智能化工程施工為主營業務，此次交易完成後有利於公司整合建築領域客户資源，挖掘客户需求，為客户提供更為優質的產品和服務；同時未來雙方在業務合作和市場推廣上將會產生較好的協同效應，有利於增強公司競爭優勢。
此次購買資產出資金額佔公司最近一期經審計淨資產的15.27%，全部來源於自有資金。目前公司現金資產充裕，待向中億豐控股集團有限公司非公開發行股份完成後，公司將新增約5億元流動資金；此外此次交易將增加公司新的利潤增長點，有利於提高公司持續經營能力；且交易雙方已約定未來三年業績承諾及標的公司盈利不及預期的業績補償條款，因此此次交易將對公司未來的經營業績及可持續發展產生積極影響，不會對公司財務狀況產生不利影響。
