成都高速(01785.HK)：控股股東聯合體以62.7億元中標高速公路公司股權轉讓項目
格隆匯 11 月 18日丨成都高速(01785.HK)發佈公告，根據公司與控股股東成都交通投資集團有限公司訂立的《避免同業競爭協議》，成都交通承諾，成都交通及其附屬公司(集團除外)於《避免同業競爭協議》生效期間不會且促使其聯繫人不會，直接或間接個別或與其他實體共同從事或協助從事或參與任何與公司在四川省的主要業務構成競爭的業務。倘成都交通及其附屬公司(集團除外)發現任何與公司主要業務直接或間接構成或可能構成競爭的新業務機會，彼須以書面形式通知公司，以便公司考慮是否接受該等新業務機會。
公司前期收悉成都交通來函，詢問公司是否行使上述相關權利以參與中電建路橋集團重慶高速公路建設發展有限公司(“中電建重慶公司”)85%股權轉讓項目。中電建重慶公司持有四川渝蓉高速公路有限公司(“渝蓉高速公司”)100%股權，渝蓉高速公司主要從事位於四川省境內的渝蓉高速公路(四川段)的運營與管理。
經過對該項目的分析後，公司全體獨立非執行董事認為：(i)公司擬專注於收購或投資有合理投資回報率的高速公路項目，渝蓉高速公路(四川段)自2018年開通試收費以來尚處於虧損狀態，現階段參與該項目將影響公司業績；及(ii)若公司本次參與該項目，將佔用公司大量自有資金，這將對公司現金流帶來較大壓力。經綜合考慮上述因素，公司全體獨立非執行董事決議公司暫不參與該項目，但公司有權隨時行使根據《避免同業競爭協議》所享有的收購選擇權、優先購買權等權利。
公司近日獲悉成都交通的全資附屬公司成都交投資本管理有限責任公司與四川交投創新投資發展有限公司組成聯合體參與了該項目的投標並以人民幣62.696億元中標。如公司就該項目行使《避免同業競爭協議》項下的有關權利，公司將根據適用的法律法規及香港聯合交易所有限公司證券上市規則履行適當的審批程序及披露要求。
