盛良物流(08292.HK)附属以代价660万收购塑料业务权益 拟股份十合一
盛良物流(08292.HK)公布,全资附属Worldgate International Investments与卖方Chan Ka Wai订立协议,向对方购买目标公司已发行股本51%,代价为660万元,将於完成时透过向卖方配发及发行2亿股代价股份之方式偿付。
目标公司全资拥有之Viet Nam Initation於越南注册成立,主要从事制造工业及民用设备之塑料产品及配件、生产有关塑料产品之模具、买卖塑料产品及配件,以及房地产业务及分租过剩土地。
另外,集团拟向股东提呈进行股份合并之建议,将每十股每股面值0.01元之股份合并为一股每股面值0.1元之合并股份。为进行收购事项,董事会建议将公司法定股本由1,000万元增加至1亿元。
交易完成後并假设股份合并已生效,主要股东JL Investments持股由23.2%摊薄至19.33%,卖方则会持股16.67%。
