愛康科技(002610.SZ)：控股股東為公司代償部分債務
格隆匯 11 月 17日丨愛康科技(002610.SZ)公佈，2019年1月29日，江蘇愛康實業集團有限公司(“愛康實業”)與中信銀行股份有限公司無錫分行(“中信銀行無錫分行”)簽署了《最高額保證合同》，愛康實業為公司與中信銀行無錫分行在2019年1月29日至2020年1月29日期間所簽署的形成債權債務關係的一系列合同之債權提供連帶責任保證擔保，擔保金額不超過8,400萬元。2020年1月20日，公司與中信銀行無錫分行簽署了《人民幣流動資金貸款合同》，中信銀行無錫分行向公司提供6000萬元貸款，貸款期限自2020年1月20日至2021年1月20日。中信銀行無錫分行對公司及保證人愛康實業享有債權。
江蘇省張家港市人民法院(“張家港法院”)裁定受理愛康實業重整申請，指定天衡會計師事務所(特殊普通合夥)蘇州勤業分所擔任愛康實業管理人。中信銀行無錫分行向管理人申報債權。張家港法院於2020年9月25日作出《民事裁定書》【(2020)蘇0582破13號】，裁定確認中信銀行無錫分行對愛康實業享有的無異議普通債權金額為4990萬元。
2020年9月21日，愛康實業第一次債權人會議通過了《江蘇愛康實業集團有限公司重整計劃》(“重整計劃”)。張家港法院於2020年9月27日作出《民事裁定書》【(2020)蘇0582破13-1號】，裁定批准該重整計劃。中信銀行無錫分行根據已經生效的重整計劃，向管理人寄送受償方案選擇函，就其享有的4990萬元無異議普通債權，選擇按7%現金受償。根據中信銀行無錫分行選擇的債權受償方案，其在愛康實業破產程序中的受償額為358.60萬元。鑑於擔保方的履約能力發生了變化，公司擬與愛康實業、中信銀行無錫分行簽署三方協議，就中信銀行無錫分行在愛康實業重整程序中受償及愛康實業對公司的追償權行使事宜達成一致如下：
中信銀行無錫分行就標的債權在愛康實業重整程序中根據重整計劃確定的受償方案可獲得的受償額為358.60萬元。中信銀行無錫分行在愛康實業重整程序中足額獲得受償後，愛康實業就標的債權不再向中信銀行無錫分行承擔保證擔保責任。愛康實業就其償付的358.60萬元可向公司主張追償權。
公司擬與愛康實業簽署追償協議，就中信銀行無錫分行在愛康實業破產程序中受償後，愛康實業對公司的追償權行使事宜達成一致如下：
愛康實業因履行保證擔保責任，在重整程序中實際向中信銀行無錫分行支付受償額358.60萬元，對公司享有追償權，公司應無條件以現金方式償還愛康實業358.60萬元。公司承諾在愛康實業向中信銀行無錫分行支付358.60萬元受償額後的六個月內，償還愛康實業358.60萬元的借款本息，利率按LPR1年期貸款利率3.85%執行，到期一次性還本付息，可提前歸還借款，具體期限以實際為準。
此次關聯交易是控股股東愛康實業重整程序中，被動為公司代償部分債務而對公司享有追償權。此次交易不會對公司的財務狀況、經營成果及獨立性構成重大影響，不存在損害公司及公司全體股東、特別是中小股東利益的情形。
