仁東控股(002647.SZ)：公司控股股東正式變更為仁東信息 實控人變更為霍東
格隆匯 11 月 17日丨仁東控股(002647.SZ)公佈，2019年7月29日，公司原控股股東北京仁東信息技術有限公司(“仁東信息”)及其一致行動人仁東(天津)科技有限公司(“天津仁東”)、仁東(天津)科技發展集團有限公司(“仁東科技”)、霍東與北京海淀科技金融資本控股集團股份有限公司(“海科金集團”)簽署了《關於仁東控股股份有限公司的股份委託管理協議》，仁東信息將其持有的仁東控股119,088,160股股份(占上市公司總股本的21.27%)對應的表決權等股東權利委託海科金集團進行管理。此次初始託管期限為一年，初始託管期限屆滿後，受託方可單方決定延長託管期限，但延長時間不應超過一年。同時，仁東信息、天津仁東與海科金集團簽署了《關於仁東控股股份有限公司的一致行動協議》(“《一致行動協議》”)，仁東信息、天津仁東、海科金集團同意，託管期限內，在上市公司所有重大事項決策中，保持一致行動，仁東信息、天津仁東應當與海科金集團取得一致意見，若無法形成一致意見，以海科金集團的意見為一致表決意見。
2019年11月15日，上述協議正式生效，公司控股股東變更為海科金集團，實際控制人變更為北京市海淀區國資委。
截至2020年11月14日，上述協議已經履行滿一年。2020年11月15日，仁東信息與海科金集團、天津仁東、仁東科技、霍東簽署《終止股份委託管理關係和一致行動關係的協議》，海科金集團不再擁有仁東信息持有的仁東控股約1.19億股股份(占上市公司總股本的21.27%)對應的表決權等股東權利。同時，仁東信息及其一致行動人天津仁東與海科金的一致行動關係終止。
此次權益變動完成前，海科金集團未持有公司任何股份，其通過委託表決權及一致行動協議擁有公司1.61億股股份的表決權(占上市公司總股本的28.75%)，為公司控股股東。
此次權益變動完成後，海科金集團不再擁有公司1.61億股股份對應的表決權(占上市公司總股本的28.75%)，也未持有公司任何股份。仁東信息持有公司1.32億股股份，其一致行動人天津仁東持有公司2948.1萬股股份，霍東將通過間接方式合計持有公司1.61億股股份(占上市公司總股本的28.75%)。公司控股股東正式變更為仁東信息，實際控制人變更為霍東。
