齊魯高速(01576.HK)：聯合重組完成
格隆匯 11 月 17日丨齊魯高速(01576.HK)公佈，山東高速集團及齊魯交通已告知公司彼等已獲得國家市場監督管理總局("該局")發出的經營者集中反壟斷審查不予禁止決定書，表示該局經過審查後決定不禁止並允許此後實施聯合重組。此外，山東高速集團通知公司，其於公告日期已接獲濟南市行政審批服務局通告，告知齊魯交通因聯合重組已於2020年11月16日由中國主管機關注銷，且根據公司中國法律顧問的意見，齊魯交通被註銷代表聯合重組完成。
齊魯交通的所有資產、負債、業務、僱員、合同及資格連同所有其他權利與義務，以及齊魯交通的下屬分支機構及持有的下屬公司的股權或其他權益，已於完成時由山東高速集團作為尚存公司承接。
因此，緊隨完成後及於公告日期，山東高速集團成為控股股東，持有於齊魯交通註銷前其先前持有的7.785億股內資股(約佔所有已發行股份的38.93%)，其與山東高速投資(山東高速集團的緊密聯繫人，於公告日期持有1.0375億股H股(約佔所有已發行股份的5.19%))皆成為公司的核心關連人士。山東高速集團及山東高速投資持有的股份因而不被視為由公眾人士持有。故此，於完成後及於公告日期，由於公眾持股量跌至低於上市規則第8.08(1)(a)及(b)條規定的25%最低規定百分比，公司無法滿足最低公眾持股量要求。
公司已向聯交所申請暫時豁免嚴格遵守上市規則第8.08(1)(a)及(b)條的公眾持股量規定，或聯交所一方放棄行使根據上市規則第8.08(1)(b)條附註(2)暫停H股買賣的權利(統稱為"臨時豁免")。於公告日期，聯交所尚未授出臨時豁免。公司、山東高速集團及山東高速投資將採取適當步驟，包括但不限於將山東高速投資所持有的H股出售給獨立第三方及╱或向獨立第三方發行新的H股，以在可行的情況下儘早恢復規定的最低公眾持股量。
