青島港(601298.SH)：控股股東股權結構將發生變更
格隆匯 11 月 17日丨青島港(601298.SH)公佈，2020年11月17日，公司收到控股股東青島港(集團)有限公司(“青島港集團”)通知，青島港集團股權結構將發生變更。
2020年11月17日，公司收到控股股東青島港集團通知，青島港集團與山東省港口集團、青島市國資委簽署了《山東省港口集團有限公司與青島市人民政府國有資產監督管理委員會關於青島港(集團)有限公司無償劃轉協議之補充協議》(“補充協議”)。經友好協商，此次股權劃轉的標的由青島港集團100%股權變更為青島港集團49%股權(“此次股權劃轉”)。
此次股權劃轉是基於“加快建設世界一流港口”的國家戰略及經山東省政府決策的山東省內國有資產內部整合，採取無償劃轉的方式，此次股權劃轉中劃出方並未實現任何收益，並不存在通過間接轉讓規避限售規定的動機。此次股權劃轉完成後，青島港集團仍直接及間接持有青島港55.10%的股權，青島市國資委仍通過青島港集團間接控制青島港55.10%的股權(青島市國資委還通過青島國際投資有限公司(“青島國投”)持有青島港0.74%的股權，合計間接控制青島港55.84%的股權)，並未導致青島市國資委對上市公司的控制權發生變化，不會對上市公司正常業務經營產生不利影響。根據補充協議約定，在青島港A股股票上市滿36個月前，山東省港口集團不享有青島港集團的利潤分配中涉及到青島港的部分，且在青島港集團股東會上就青島港相關事項的表決與青島市國資委保持一致。
此次股權劃轉實施完成後，青島港集團股權結構將發生變更，具體情況如下：
此次股權劃轉完成前，青島港集團直接持有青島港35.63億股股份，通過山東港口金融控股有限公司(“山港金控”)間接持有青島港1373.9萬股股份，合計持有35.76億股股份，約佔青島港總股本的55.10%。青島市國資委通過青島港集團間接持有青島港35.76億股股份，通過青島國投間接持有青島港4800萬股股份，合計持有36.24億股股份，約佔青島港總股本的55.84%。青島港集團為公司控股股東，青島市國資委為公司實際控制人。
此次股權劃轉完成後，青島市國資委直接持有青島港集團51%股權，山東省港口集團直接持有青島港集團49%股權。青島港集團持有青島港股權結構不變，仍為公司控股股東，青島市國資委仍為公司實際控制人。
此次股權劃轉尚需取得山東省人民政府國有資產監督管理委員會的批准。此次股權劃轉完成後，公司控股股東仍為青島港集團，實際控制人仍為青島市國資委。此次青島港集團股權結構變更不會導致公司控制權及主要業務結構發生變化，對公司的正常經營活動不構成實質性影響。
