中核鈦白(002145.SZ)：與攀枝花市政府簽署戰略合作框架協議
格隆匯 11 月 17日丨中核鈦白(002145.SZ)公佈，公司於2020 年11月17日與攀枝花市人民政府(“攀枝花市政府”或“甲方”)簽署了《戰略合作框架協議》。合作內容如下：
1、聚焦重組標的，構建產業生態。充分發揮甲方屬地的資源優勢和乙方的產業優勢，重點在“釩鈦資源+氧化鈦+金屬鈦”等領域選擇具有重組可行性和重組價值的公司作為投資標的，深度開展投資與合作，在攀枝花構建釩鈦產業生態圈。
2、實施債務重組，維穩再創生機。乙方將依法通過對甲方屬地企業提供債務重組為切入點，協助優化困難企業債務結構，化解困難企業債務壓力，維護地方經濟穩定，為企業再創生機奠定基礎。
3、建設綜合利用、高附加值的釩鈦產能，延伸釩鈦產業鏈，提高資源利用效率。乙方投入資金依法參與攀枝花釩鈦產能的整合，同時乙方投入研發資源和技術支持，通過整合、新建、技術改造升級等方式建設釩鈦綜合利用產能，生產含釩鈦高性能金屬新材料，提升礦產資源的利用效率。
乙方在攀枝花設立獨立法人企業，全面實施在攀枝花地區的投資，計劃在攀枝花完成總投資約150億元(含以基金、併購貸款等方式的投資，以最終審批的投資額為準)，重點在“鈦資源+氧化鈦+金屬鈦”領域開展投資，投資方向包括但不限於：
1.1 通過資產重組、債務重組、技改提升等方式，依法參與整合區域內的釩鈦資源類企業以及洗選加工類企業，對釩鈦資源進行精深加工，實現就地轉化。
1.2 結合乙方的資金、人才、技術等方面的綜合優勢，依法參與整合區域內鈦白粉生產企業，對整合後的鈦白粉生產企業進行投資改造。
1.3 依法投資重組區域內釩鈦磁鐵礦深加工企業，利用資源整合、投資新建、產線延伸等方式，實現產品轉型和拾遺補缺，生產高附加值產品，實現資源綜合利用。
1.4 投資成立釩鈦產業高質量發展研究院，為實現區域內釩鈦資源的高效利用，提供智力支撐和保障。
公司與攀枝花市政府的戰略合作是公司啟動在攀枝花地區開展投資、整合的重要舉措，有利於公司依託攀枝花地區豐富的釩鈦資源，全面優化升級公司的產業結構，有效提升公司在行業內的競爭實力，為構建“釩鈦資源+氧化鈦+金屬鈦”的產業佈局奠定堅實基礎。
