春興精工(002547.SZ)被中信建投提起仲裁申請
格隆匯11月15日丨春興精工(002547.SZ)公佈，公司近日獲悉中信建投證券股份有限公司已按照與公司及仙遊縣元生智匯科技有限公司三方共同簽署的《海峽元生私募基金財產份額遠期轉讓協議》約定的爭議解決方式向福州仲裁委員會提起仲裁申請。申請人：中信建投證券股份有限公司（代表龍興16號定向資產管理計劃）；被申請人一：蘇州春興精工股份有限公司；被申請人二：仙遊縣仙財國有資產投資營運有限公司。
本次仲裁的請求：1、請求裁決被申請人一向申請人支付轉讓價款本金250,686,202.66元；2、請求裁決被申請人一向申請人支付孳息13,961,525.35元；3、請求裁決被申請人一向申請人支付違約金35,446,289.29元；4、請求裁決被申請人一向申請人賠償律師代理費損失40萬元。
據悉，2017年7月，被申請人一及仙遊縣元生智匯科技有限公司與申請人簽訂《海峽元生私募基金財產份額遠期轉讓協議》，由被申請人一在2022年及2023年分兩期受讓申請人持有的40,000萬元的海峽元生私募基金財產份額。因被申請人一法定代表人於2018年9月4日變更；元生公司經營範圍於2018年12月20日變更，前述事項的變更被申請人一及元生公司均未履行約定的通知義務，違反《轉讓協議》的約定，構成違約。
申請人已於2018年11月19日向福州仲裁委提起仲裁，請求得潤公司根據《保證合同》的約定承擔連帶擔保責任，福州仲裁委作出裁決後，得潤公司僅支付部分款項；而被申請人二作為連帶責任人應當對被申請人一的全部債務承擔連帶清償責任，申請人現要求被申請人對未清償部分的債務承擔相應的還款責任。
公司將就上述仲裁事項涉及的相關問題與相關方進行溝通，爭取妥善解決，依法維護公司合法權益。因目前上述仲裁事項尚處於受理階段，公司暫時無法判斷對本期利潤或期後利潤的影響。
