萬訊自控(300112.SZ)：子公司香港萬訊擬向Scape增資 投資金額約737.23萬元
格隆匯 11 月 13日丨萬訊自控(300112.SZ)公佈，公司參股子公司Scape Technologies A/S(“Scape”)的產品開發進展情況及資金需求，Scape擬向現有股東及特定股東定向發行股份636.3636萬股~919.7643萬股，每股面值1丹麥克朗，發行價格為5.50丹麥克朗/股，此次發行完成後Scape的註冊資本、股本總額由1379.6465萬丹麥克朗增加至2016.0101萬~2299.4108萬丹麥克朗。根據公司戰略發展規劃，公司全資子公司香港萬訊有限公司(“香港萬訊”)此次擬以現金參與認購127.2727萬股，擬投資金額為約700萬丹麥克朗(約為人民幣737.23萬元)。
此次交易定價為5.50丹麥克朗/股，此次交易完成後，香港萬訊持有Scape的股數由295.7806萬股增加至423.0533萬股，公司及香港萬訊合計持有Scape的股數由420.7807萬股增加至548.0534萬股。
此次交易前，公司及香港萬訊合計持有Scape30.50%股權；公司控股股東、實際控制人、董事長傅宇晨及董事鍾怡泰擔任Scape董事，因此，此次交易事項構成關聯交易。此外，公司董事、總經理傅曉陽與傅宇晨系兄弟關係，因此，傅曉陽先生亦為關聯方。
自動化生產線中，工件的分類拾取是其中的重要一環。在已經發展的技術中，基於2D視覺系統的隨機拾取較為成熟。但受限於其工作原理，該技術只適用於外形規則且與環境顏色或亮度有較大反差的工件，且不能有堆疊。而基於3D視覺系統的Bin-Picking在其基礎上實現了真正意義的隨意拾取，但由於其技術難度較高，直到進入21世紀以後，才真正有所突破，公司的參股子公司丹麥Scape的解決方案即為發展較早且較為完善的解決方案之一。丹麥Scape核心產品SCAPE系統(Smart Classifier and Pose Estimator，智能分類及位置評估)可以配合絕大多數產自世界級機器人公司(如KUKA,ABB及Kawasaki等)的標準機械手使用。現在其產品已經在歐美範圍內得到了廣泛認可，包括大眾、沃爾沃、福特在內的汽車產業巨頭都已採用其開發的系統，在德國、意大利、丹麥等歐美國家，已經積累了多年數十個成功的應用案例。
近日，Scape發佈了新一代產品軟件，極大地提高了產品的易用性。為進一步優化產品結構和性能，Scape擬進一步加大研發投入。通過此次交易，可為Scape提供研發所需資金，有助於Scape的技術提升和業務發展，有利於公司提升業務、技術等方面的核心競爭力。
