保力新(300116.SZ)擬通過投資無錫珈偉並未來與無錫鑫盛源企業管理合夥企業、鄭敏共同運營新能源鋰電相關業務
格隆匯 11 月 13日丨保力新(300116.SZ)公佈，為進一步推進公司重整後的戰略規劃和經營發展需要，促進公司新能源鋰電池業務做大做強，經公司與珈偉新能源科技(無錫)有限公司(“無錫珈偉”或“標的公司”)的股東深圳珈偉儲能科技有限公司、田麗華、顧俊及顧健友好協商，達成一致並簽署《股權轉讓協議》。
同時，經公司與無錫鑫盛源企業管理合夥企業(有限合夥)、鄭敏友好協商，就合作運營新能源鋰電相關業務達成一致，並簽署了《關於珈偉新能源科技(無錫)有限公司減少註冊資本、股權激勵等的合作協議》(“合作協議”)。公司擬受讓無錫珈偉股東顧健的全部股權以及股東深圳珈偉儲能科技有限公司、田麗華、顧俊的部分股權並按照認繳出資額對無錫珈偉進行實繳出資，投資金額共計3550萬元。交易完成後公司將成為無錫珈偉的控股股東，持股比例為71%。根據《股權轉讓協議》在股權轉讓完成後將對無錫珈偉進行減資，註冊資本從1億元減少至5000萬元，公司持股比例仍為71%。無錫鑫盛源企業管理合夥企業(有限合夥)和鄭敏負責協調上述減資相關事宜並向公司達成業績承諾，公司結合業績完成情況逐年分別給與無錫鑫盛源企業管理合夥企業(有限合夥)共計20%的標的公司股權、鄭敏共計5%標的公司權作為股權激勵，各方共同運營無錫珈偉。
無錫鑫盛源企業管理合夥企業(有限合夥)及鄭敏為原A股上市公司珈偉新能源股份有限公司(證券代碼：300317)鋰電運營團隊及其帶頭人，具有鋰電市場、運營、管理、技術等優勢。公司擬通過投資無錫珈偉並未來與無錫鑫盛源企業管理合夥企業(有限合夥)、鄭敏共同運營新能源鋰電相關業務，與公司的主營業務形成協同效應，促進公司新能源鋰電池業務做大做強，符合公司重整後的戰略規劃和經營發展的需要，有利於豐富並優化公司業務結構，增強公司的綜合競爭力和可持續發展能力。
