立訊精密(002475.SZ)及立訊實業夥立訊企業服務共設常熟立臻 對外投資收購緯創兩家子公司
格隆匯 11 月 12日丨立訊精密(002475.SZ)公佈，2020年7月17日，公司及控股股東立訊有限公司(“立訊有限”)與緯創資通股份有限公司(“緯創股份”)、WIN SMART CO.，LTD.(“WIN”)簽署了《收購框架協議》，公司(或控股子公司)擬與立訊有限共同出資以現金收購WIN直接及間接控制的全資子公司緯創投資(江蘇)有限公司(“江蘇緯創”)及緯新資通(崑山)有限公司(“崑山緯新”，與“江蘇緯創”合稱“目標公司”)的100%股權。
2020年11月12日，公司及全資子公司常熟立訊實業投資管理有限公司(“立訊實業”)與關聯法人常熟立訊企業管理服務合夥企業(有限合夥)(“立訊企業服務”)共同簽署《常熟立臻智造科技合夥企業(有限合夥)有限合夥協議》(“合夥協議”)，合夥各方同意共同出資設立常熟立臻智造科技合夥企業(有限合夥)(“常熟立臻”，具體名稱以市場監督管理部門核定為準)。合夥企業規模為人民幣60億元，其中立訊實業作為普通合夥人以自有資金擬出資人民幣0.3億元，出資比例0.5%，公司和立訊企業服務作為有限合夥人分別以自有資金擬出資人民幣5.7億元和54億元，出資比例分別為9.5%和90%。公司及立訊實業對常熟立臻不構成控股。
常熟立臻經設立完成後，擬與立訊有限合資設立立臻智造科技(江蘇)有限公司(“江蘇立臻”，具體名稱以市場監督管理部門核定為準)，其中常熟立臻擬出資人民幣60億元，持有江蘇立臻99.98%股權，立訊有限擬出資人民幣0.01億元，持有江蘇立臻0.02%股權。設立完成後，江蘇立臻擬以人民幣33億元自有資金收購目標公司的全部股權。收購完成後，江蘇立臻將通過直接及間接方式持有江蘇緯創和崑山緯新的100%股權。針對目標公司的股權收購，立訊有限、立訊精密已於2020年11月12日與緯創股份、WIN及目標公司簽署了《收購協議》。
基於公司多年以來在消費電子領域的深度沉澱以及對消費電子業務的中長期戰略佈局，公司及全資子公司立訊實業此次與關聯方立訊企業服務共同對外投資，可拓寬公司現有產品的銷售渠道，與公司現有業務產生有效協同，提升公司市場競爭力，符合公司和全體股東的利益。
