格隆匯 11 月 11日丨首創置業(02868.HK)公告,於2020年11月11日,該公司間接全資附屬首金祺志(天津)投資管理有限公司為賣方與買方北京市綠化隔離地區基礎設施建設有限公司訂立股權轉讓協議,據此(其中包括):

1.賣方有條件同意出售及買方有條件同意收購項目公司北京創閲新科置業有限公司14.99%的股權,買方現金代價為人民幣86.94萬元,及對項目公司按其股權比例繳付註冊資本(即人民幣1499萬元)。股權轉讓完成後,項目公司將由賣方及買方分別擁有85.01%及14.99%的權益;

2.緊隨完成後,賣方及買方將根據屆時於項目公司的股權比例對項目公司進行增資,增資額為人民幣13.8億元。

3.完成後,買方承諾提供的無抵押股東貸款為人民幣4.72億元,並按年利率7%計息,其中人民幣2.2億元后續將轉為權益出資,用於繳付註冊資及對項目公司進行增資。

項目公司主要從事位於中國北京市的大瓦窰地塊的開發。大瓦窯地塊於2020年7月透過公開競買獲得,自競得日起一直由項目公司持。

該公司為於中國註冊成立的股份有限公司,其H股於聯交所主板上市(股份代號:2868)。公司為中國領先的大型地產綜合運營商,主要致力於以住宅物業開發、奧特萊斯綜合體、城市核心綜合體及土地一級開發作為發展的四大核心業務線,並以高新產業地產開發、文創產業地產開發及長租公寓等創新業務為補充。

大瓦窯地塊位於北京麗澤及豐台科技園兩大商務區的輻射重疊區域,且具備臨地鐵、近高速等地理優勢,具備稀缺投資機遇。買方由首創集團控股,獲政府委託從事大瓦窯綠化隔離地區的一級土地開發業務。包括大瓦窯地塊在內,買方負責實施了北京市綠化隔離地區多宗經營性用地的一級開發。公司擬藉助首創集團內部產業聯動協同優勢,與買方共同開發大瓦窯地塊,充分挖掘其開發價值。

此外,引入買方共同開發大瓦窯地塊將在保持公司對開發大瓦窯地塊的主導操盤權的同時,分散項目風險,減少公司的資金投入,提高開發大瓦窯地塊的投資回報率。
