顧地科技(002694.SZ)：因信披違規收到湖北證監局行政監管措施決定書
格隆匯 11 月 11日丨顧地科技(002694.SZ)公告，公司及相關人員於2020年11月11日收到中國證券監督管理委員會湖北監管局行政監管措施決定書(以下簡稱“湖北證監局”)下發的《湖北證監局關於對顧地科技股份有限公司、賈廣鑫、王大鈞、張東峯採取出具警示函措施的決定》([2020]41號)，現將相關內容公告如下：
“顧地科技股份有限公司、賈廣鑫、王大鈞、張東峯：
2017年8月24日，公司經股東大會審議通過了投資阿拉善沙漠夢想汽車航空樂園——汽車樂園(互動娛樂區)建設項目的議案，計劃通過全資子公司阿拉善盟夢想汽車文化旅遊開發有限公司實施，總投資10.00億元。2020年6月11日，公司知悉該項目已實際完成投資12.10億元，超出已經審議通過的投資金額2.10億元。直至2020年6月24日，公司才公告補充履行該筆超計劃額度投資的審議程序並對外披露。公司時任總經理賈廣鑫及董事會祕書張東峯，夢汽文旅公司經理、執行董事、法定代表人王大鈞為相關信息披露違規的直接責任人。
公司未及時披露重大投資超額情況，違反了《上市公司信息披露管理辦法》第三十條“發生可能對上市公司證券及其衍生品種交易價格產生較大影響的重大事件，投資者尚未得知時，上市公司應當立即披露，説明事件的起因、目前的狀態和可能產生的影響。前款所稱重大事件包括：……(二)公司的重大投資行為和重大的購置財產的決定……”的規定。
根據《上市公司信息披露管理辦法》第五十九條的規定，我局決定對公司及有關責任人賈廣鑫、王大鈞和張東峯採取出具警示函的行政監管措施，並記入證券期貨誠信檔案。公司及相關責任人應認真吸取教訓，加強證券法律法規學習，嚴格履行對外投資的審議程序和信息披露義務，強化信息披露的真實、準確、完整、及時，杜絕此類行為再次發生。
如果對本監督管理措施不服的，可以在收到本決定書之日起60日內向中國證監會提出行政複議申請，也可以在收到本決定書之日起6個月內向有管轄權的人民法院提起訴忪。複議與訴訟期間，上述監督管理措施不停止執行。“
公司董事會將根據湖北證監局的要求進行整改，嚴格依據相關規定及時履行信息披露義務。公司董事、監事及高級管理人員將以本次整改為契機，加強對證券法律法規的學習，強化規範運作意識，健全內部控制制度，切實提高公司規範運作水平，杜絕此類問題再次發生。
