深康佳Ａ(000016.SZ)擬與南昌經開區管委會共建半導體產業園及共設配套股權投資基金
格隆匯 11 月 11日丨深康佳Ａ(000016.SZ)公佈，為加快在半導體等戰略新興產業佈局，公司與南昌經濟技術開發區管理委員會(“南昌經開區管委會”)於近日簽署了《合作框架協議》，合作框架協議的主要內容為公司擬與南昌經開區管委會在南昌經開區管委會轄區內共同建設江西康佳半導體高科技產業園(“半導體產業園”)及共同設立配套股權投資基金。主要內容如下：
1、公司擬與南昌經開區管委會在南昌經開區管委會轄區內共同建設半導體產業園。其中公司負責在半導體產業園引進一批符合半導體產業園定位的半導體及相關產業鏈項目，並將該半導體產業園作為半導體企業孵化平台，積極引進半導體專業研發團隊及半導體初創企業入駐。
2、半導體產業園項目建設期為10年，分兩期建設，力爭建設期內總投入達到300億元，其中一期項目總投入力爭達到75億元，不低於50億元，上述投資將主要由半導體產業園的入園企業投資。
3、公司擬與南昌經開區管委會管理的指定企業共同組建服務於半導體產業園項目的股權投資基金，該基金計劃規模上限為20億元人民幣，預計分兩期到位，每期金額上限為10億元。實際投資額度由各出資方協商確定。該基金擬以市場化股權投資方式投入半導體產業園的入園企業。
4、合作框架協議為雙方合作的框架性協議，合作框架協議項下涉及到的各個項目具體實施時，分別由具體實施項目的企業(“項目企業”)與南昌經開區管委會另行簽訂具體的項目合作協議，具體項目實施細節在各具體的項目合作協議中進行具體約定。若各項目企業與南昌經開區管委會簽署的具體的項目合作協議與合作框架協議有衝突的，以具體的項目合作協議為準。
該合作框架協議的簽署，符合公司“半導體+新消費電子+科技園區”核心主線的戰略定位，有助於公司完善半導體產業佈局，夯實在半導體領域的影響力，助力公司從“康佳電子”向“康佳科技”轉變。因項目實施需要一定週期，預計該合作框架協議的履行對公司2020年度財務狀況、經營成果無重大影響。
