浙江滬杭甬(00576.HK)擬收購杭寧公司30%股權及龍麗麗龍公司全部股權 總代價29.23億元
格隆匯 11 月 11日丨浙江滬杭甬(00576.HK)發佈公告，2020年11月10日，公司與交通集團訂立杭寧股權購買協議，據此，交通集團有條件同意出售、而公司有條件同意收購杭寧公司30%股權，代價為人民幣26.85億元。
同日，公司與交通集團訂立龍麗麗龍股權購買協議，據此，交通集團有條件同意出售、而公司有條件同意收購龍麗麗龍公司全部股權，代價約為人民幣2.38億元。
根據披露，杭寧公司為一家於2004年在中國成立的有限公司，註冊資本為人民幣1億元。杭寧公司主要從事經營及管理杭寧高速公路浙江段的道路收費權，杭寧高速公路全長98.961公里，為雙向四車道，設計限速每小時120公里。杭寧高速公路一期王家浜至青山段已於2000年建成通車，暫定道路收費權期間至2030年為止，而杭寧高速公路二期杭州至青山段及王家浜至父子嶺段已於2002年建成通車，暫定道路收費權期間至2032年為止。
於該公告發布日，杭寧公司由交通集團持有65.7%權益、湖州市交通投資集團有限公司持有21.753%權益、長興交通投資集團有限公司持有12.547%權益。杭寧收購事項完成後，杭寧公司仍為交通集團的非全資附屬公司。
此外，龍麗麗龍公司為一間於2005年在中國成立的有限責任公司，於該公告發布日，其註冊資本及繳足資本約為人民幣81.61億元。龍麗麗龍公司主要從事經營及管理位於浙江省的龍麗麗龍高速公路(全長222.2公里)的道路收費權。於該公告發布日，龍麗麗龍公司為交通集團的全資附屬公司，而於龍麗麗龍收購事項完成後，龍麗麗龍公司將成為公司的全資附屬公司。
龍麗麗龍高速公路包括龍麗高速公路與麗龍高速公路，兩者呈T型結構。龍麗高速公路的北端連接杭千高速公路，而龍麗高速公路與麗龍高速公路則於南端的北埠樞紐連接。龍麗高速公路全長119.785公里，為雙向四車道，設計時速為每小時100/80公里。整段高速公路於2006年落成通車，道路收費權期間預計至2031年止。
麗龍高速公路的東端與金麗温高速公路的富嶺樞紐連接，西端則為龍青高速公路的起點。麗龍高速公路全長102.44公里，為雙向四車道，設計時速為每小時100/80公里。麗龍高速公路蓮都段於2007年落成通車，道路收費權期間預計至2032年止，而麗龍高速公路其他路段於2006年落成通車，道路收費權期間預計至2031年止。
