格隆匯 11 月 10日丨尚緯股份(603333.SH)公佈，公司於2020年11月10日收到上海證券交易所出具的《關於對尚緯股份有限公司有關支付現金購買資產暨關聯交易事項的工作函》(上證公函【2020】2628號)，現將具體內容公告如下：
尚緯股份有限公司：
近日，你公司公告擬現金收購星空野望股權，我部就有關事項已於11月8日向你公司發出問詢函。鑑於有關事項對公司影響較大、投資者高度關注，現根據本所《股票上市規則》第17.1條的規定，對你公司再次明確監管要求如下。
一、你公司主營電纜業務，擬收購標的公司主營直播電商業務，成立約半年。公司並無在直播電商行業的相關業務基礎和準備，直播電商行業與公司電纜業務跨度較大，請公司董事會就本次跨界收購的戰略考慮、協同安排、預期影響及風險評估等事項，充分迴應市場關切並對外披露。
二、你公司收購星空野望股權後，星空野望相關股東擬用公司支付的現金向公司實控人的一致行動人李廣元收購其所持公司股權，構成一攬子交易。請公司核實相關交易安排是否存在向李廣元變相利益輸送的情形、實際目的是否是為其提供大額股份減持途徑、星空野望股權估值溢價是否與上述轉讓股份的安排相關。請公司董事會取得前述利益相關方的專項説明並對外披露。
三、截至三季度末，公司賬面資金為4.39億元，不足以支付本次交易價款。請公司董事會説明維持主營電纜業務日常運營及擴大生產所需資金規模、本次交易資金來源及主要安排、交易事項可能對公司現金流產生的影響，並對外披露。
四、你公司本次擬收購標的公司涉及新興直播帶貨領域。請公司董事會説明是否充分論證該行業的市場前景及其可持續性、相關知名人士在星空野望直播業務的可持續性、相關方是否具備業績承諾的實際履行能力，並對外披露。
五、請公司董事會核實並披露前述收購事項的籌劃過程，説明董事會是否充分討論並發表意見、收購項目具體經辦人員是否提供充分資料供董事會決策、相關決策是否受到公司實控人及其一致行動人的不當影響。請公司獨立董事就此發表專項意見。
你公司董事會應當結合本所前次問詢函，認真落實本工作函要求，儘快核實有關情況後及時對外披露，並作充分風險提示。
