恆泰艾普(300157.SZ)：股東北京碩晟及其一致行動人李麗萍所持有公司部分股票不得行使表決權
格隆匯 11 月 10日丨恆泰艾普(300157.SZ)公佈，2020年11月10日，公司第四屆監事會第十六次會議審議通過了《關於同意股東提請召開臨時股東大會請求的議案》，同意股東北京碩晟科技信息諮詢有限公司(“北京碩晟”)及其一致行動人李麗萍召開臨時股東大會的提請。根據《深圳證券交易所創業板股票上市規則》，公司董事會認為，股東北京碩晟、李麗萍所持有公司有表決權的股份不足10%，不具備提請監事會召集股東大會的資格。原因如下：
(一)股東北京碩晟及其一致行動人李麗萍在2020年8月5日增持公司已發行的有表決權股份達到5%，即3560.5663萬股時，未立即停止並履行信息披露義務，而在當日繼續通過證券交易所集中競價方式增持152股至3560.5815萬股股票，持股比例超過了5%，已違反《中華人民共和國證券法》第六十三條及《上市公司收購管理辦法》第十三條的規定。因此，北京碩晟及其一致行動人李麗萍增持至5%後的股份在買入後的36個月內均不得行使表決權。
(二)根據《深圳證券交易所創業板股票上市規則》第4.4.6條規定，……；單獨或者合計持有公司10%以上已發行有表決權股份的股東有權提議召開臨時股東大會；……。鑑於股東北京碩晟及其一致行動人李麗萍所持有公司可以行使表決權的股份不足10%，違法持股股東北京碩晟、李麗萍不具備提請監事會召集股東大會的資格。
截至2020年11月9日，北京碩晟及其一致行動人李麗萍合計持有公司約1.14億股股票，佔公司總股本的16%，其中北京碩晟及其一致行動人李麗萍僅對持有的公司3560.5663萬股股票具有表決權，對剩餘的7833.2559萬股股票不具有表決權。北京碩晟、李麗萍作為持有公司5%有表決權股份的股東，應遵守法律法規的規定，不得干擾上市公司的正常運行，損害中小股東的利益。
