中國葛洲壩集團股份有限公司：
經審閲你公司提交的中國能源建設股份有限公司換股吸收合併中國葛洲壩集團股份有限公司暨關聯交易預案，現有如下問題需要你公司進一步補充披露。
1．預案披露，葛洲壩A股換股價格為8.76元/股，系綜合考慮股票價格波動的風險並對葛洲壩換股股東進行風險補償，以定價基準日前20個交易日的均價6.04元/股為基準，給予45%的溢價率；中國能源建設A股發行價格為1.98元/股，是綜合考慮合併雙方的總體業務情況、盈利能力、增長前景、抗風險能力、行業可比公司估值水平等因素綜合確定的。請公司補充披露：(1)中國能源建設A股發行價格的具體定價依據，並與其在H股價格、同行業可比公司價格等比較，説明發行定價的合理性；(2)葛洲壩A股換股價格的具體定價依據，45%的溢價率的選取原因，相關換股安排是否有利於保障公司股東權益。請財務顧問發表意見。
2.預案披露，本次換股吸收合併中，葛洲壩異議股東現金選擇權價格為定價基準日前一個交易日股票收盤價，即6.09元/股。請結合以往可比交易案例，説明葛洲壩現金選擇權價格與換股價格存在差異的原因及合理性，是否損害異議股東權益。請財務顧問發表意見。
3.預案披露，中國能源建設2017年度、2018年度、2019年度、2020年上半年實現營業總收入分別為2343.70億元、2240.34億元、2472.91億元、1055.97億元，實現歸母淨利潤分別為52.00億元、47.03億元、51.12億元、8.86億元。請公司補充披露：(1)報告期內，中國能源建設剔除葛洲壩後的備考財務會計信息，以及剔除葛洲壩後主要細分業務板塊的經營數據,(2)請説明本次交易是否有利於提高上市公司資產質量、改善財務狀況和增強持續盈利能力；(3)結合內外部經營環境變化、主要下屬公司經營業績等，分析本年度盈利下滑的具體原因，及擬採取的應對措施。請財務顧問發表意見。
4.預案披露，2020年1-6月，中國能源建設國際新籤合同額為973.67億元，面臨一定的國際業務固有風險。請公司補充披露：(1)報告期內，中國能源建設境外業務的合同金額及收入佔比，以及區域分佈情況；(2)結合相關重大項目的執行情況等説明當前宏觀環境下，應對風險的措施安排。請財務顧問發表意見。
5.預案披露，本次換股吸收合併接收方將承繼及承接葛洲壩的全部資產、負債、業務、合同、資質、人員及其他一切權利與義務。請補充披露葛洲壩終止上市並註銷法人資格對其生產經營的影響，包括但不限於資質申領、資產權屬變更、合同變更和續約等，相關權利義務的變更是否存在法律障礙。請財務顧問發表意見。
