金山股份(600396.SH)：丹東赫普就與公司子公司簽署的《高壓固體電蓄熱調峯輔助服務合同》產生糾紛提起訴訟
格隆匯 11 月 9日丨金山股份(600396.SH)公告，近日，公司接到全資子公司丹東金山熱電有限公司(以下簡稱“被告”或“丹東熱電公司”)轉自遼寧省丹東市中級人民法院的(2020)遼06民初345號傳票及相關起訴文件，丹東赫普熱力電儲能有限公司(以下簡稱“原告”或“丹東赫普公司”)就與丹東熱電公司簽署的《高壓固體電蓄熱調峯輔助服務合同》產生糾紛提起訴訟。
一、訴訟案件事實、請求的內容及理由
2017年，丹東熱電公司與丹東赫普公司簽訂《高壓固體電蓄熱調峯輔助服務合同》，探索合同能源管理方式推動燃煤電廠靈活性改造，約定由丹東赫普公司就“高壓固體電蓄熱調峯輔助服務”項目向丹東熱電公司提供電蓄熱調峯輔助服務。丹東赫普公司訴訟請求如下：
1.請求因被告根本違約，解除原被告雙方簽訂的《高壓固體電蓄熱調峯輔助服務合同》；
2.請求被告支付2019年至2020年供暖期調峯服務費2411.90萬元；
3.請求被告賠償其違約行為給原告造成的投資損失31,988.20萬元；
4.請求被告賠償未將負荷率調至50%給原告造成的調峯輔助服務費損失共計2491.51萬元；
5.請求被告賠償2019年11月1日至23日拒絕投運電蓄熱設施調峯給原告造成的調峯輔助服務費損失317.21萬元；
6.請求被告賠償2018年11月至2020年3月不配合原告報價導致不能中標給原告造成的調峯輔助服務費損失1078.63萬元；
7．請求被告賠償因合同解除給原告造成的2021年至2037年可獲得利益損失35,983.80萬元；
8.請求被告承擔原告律師代理費用及本案訴訟費用。
二、關於本次訴訟事項的説明
丹東熱電公司認為，丹東赫普公司訴訟請求與事實不符，丹東熱電公司將積極以法律途徑維護公司及全體股東利益。
三、案件判決及裁定情況
本案已經遼寧省丹東市中級人民法院受理，目前尚未開庭。
四、對公司本期利潤或期後利潤的影響
因上述訴訟事項尚未開庭審理，公司暫無法判斷對本期利潤或期後利潤的影響，最終影響需以後續法院判決或執行結果為準。鑑於相關訴訟仍存在不確定性，公司提醒投資者注意市場風險，後續公司也將嚴格按照相關規定及時履行信息披露義務。
