*ST眾泰(000980.SZ)及相關人員收到浙江證監局警示函
格隆匯 11 月 9日丨*ST眾泰(000980.SZ)公佈，公司及相關人員於近日收到中國證券監督管理委員會浙江監管局(“浙江證監局”)出具的《關於對眾泰汽車股份有限公司及相關人員採取出具警示函措施的決定》([2020]95號)。現將具體內容公告如下：
決定書的主要內容：
眾泰汽車股份有限公司、金浙勇、楊海峯、張志：
經查，我局發現眾泰汽車股份有限公司(“公司”)存在以下問題：
(一)截至2020年10月末，控股股東鐵牛集團有限公司(“鐵牛集團”)非經營性佔用公司資金餘額逾3億元，公司未按規定履行該事項的審議程序和信息披露義務。
(二)2020年6月23日，公司2019年年報披露收購捷孚傳動科技有限公司(“捷孚傳動”)資產事項，累計支付資金13.8億元。捷孚傳動系鐵牛集團關聯方，該收購事項構成關聯交易，公司未披露與捷孚傳動的關聯關係，且未按規定對關聯交易履行審議程序和信息披露義務。
(三)經查，上述13.8億元收購款中，13億元系從第三方拆入資金並多次循環支付累計產生，公司未真實披露資金支付情況。
上述行為違反了《上市公司信息披露管理辦法》第二條、第三條、第四十八條和《關於規範上市公司與關聯方資金往來及上市公司對外擔保若干問題的通知》的規定，公司董事長兼總裁金浙勇、董事會祕書楊海峯、財務總監張志對上述違規行為負有主要責任。按照《上市公司信息披露管理辦法》第五十八條、第五十九條規定，我局決定對你們分別採取出具警示函的監督管理措施，並計入證券期貨市場誠信檔案。你們應認真吸取教訓，履行勤勉盡責義務，切實維護全體股東利益，並於2020年11月20日前向我局提交書面報告。
如對本監督管理措施不服，可在收到本決定之日起60 日內向中國證券監督管理委員會提出行政複議申請，也可在收到本決定書之日起6個月內向有管轄權的人民法院提起訴訟。複議與訴訟期間，上述監督管理措施不停止執行。
收到上述警示函後，公司及全體董事、監事、高級管理人員高度重視，深刻反思公司在規範運作及信息披露工作中存在的問題和不足，公司將遵照浙江證監局的要求，積極整改。公司將進一步加強董事、監事、高級管理人員對《中華人民共和國證券法》《上市公司信息披露管理辦法》等相關法律法規的學習和能力培養，進一步規範公司運作水平，不斷提高信息披露質量，切實依法履行信息披露義務，杜絕此類事件的再次發生。
