環球智能控股(00395.HK)：聯交所決定暫停公司股份買賣
格隆匯 11 月 8日丨環球智能控股(00395.HK)公佈，公司接獲香港聯合交易所有限公司(“聯交所”)發出日期為2020年11月6日的函件作為通知，聯交所決定，公司未能維持上市規則第13.24條所規定的足夠營運水平，以保證公司股份繼續上市，並決定根據上市規則第6.01(3)條暫停股份買賣。在作出該決定時，聯交所已考慮(其中包括)以下各項：
1.公司的現有業務，即(i)提供軟件銷售及線上線下諮詢服務；(ii)提供綜合電子推廣解決方案分部的電子支付解決方案及服務；及(iii)在電子商務平台上為客户提供建設、運營及推廣服務，均一直處於低營運水平，而有關情況似乎並非暫時性的衰退或下降，且聯交所認為公司尚未證明該等業務屬可行及可持續發展的業務；
2.公司的新貿易業務(“新貿易業務”，包括(i)供應鏈管理解決方案業務，其涉及多種產品(包括醫療用品、時尚家居產品、藥物及補充劑、護膚美容產品)的交易以及為客户提供增值服務；(ii)零售業務，為公司向品牌合作伙伴及╱或其授權分銷商購入商品並通過第三方線上平台及╱或實體店向零售消費者出售有關商品(“品牌電子商務業務”)；及(iii)網店運營，為公司的內部採購團隊挑選併購入產品於自營線上商店轉售予零售客户，該等業務的利潤偏低、經營歷史尚短且經營規模不大。聯交所認為，公司尚未證明新貿易業務屬可行及可持續發展及╱或具有實質性的業務；
3.公司向聯交所提供的盈利預測可能無法實現，因超過一半的預計盈利乃來自品牌電子商務業務，而該業務是以管理層的預期銷售額及估計毛利率為依據，且盈利預測亦顯示，新貿易業務的預期收入及盈利可能不足以支付公司的企業開支。
根據上市規則第2B.06(1)及2B.08(1)條，公司有權在收到該決定後的7個營業日內，將該決定轉交上市委員會(定義見上市規則)複核。因此，倘公司於2020年11月17日之前並無作出任何複核申請，則股份將自2020年11月18日上午九時正起暫停買賣。在此之前，股份買賣將會繼續。
根據該函件，公司須重新遵守上市規則第13.24條，以及將可於18個月糾正期間重新遵守上市規則。倘公司未能於18個月期間屆滿前達成上述規定，聯交所將會取消股份的上市地位。
公司正內部審閲及審議該決定，同時亦與外部顧問討論，並有意於2020年11月17日或之前提出要求將該決定轉交上市委員會複核。
公司董事謹此提醒公司股東及潛在投資者，(i)公司不一定要求上市委員會複核；及(ii)(倘進行復核)有關複核結果並不確定。
