2019年度業績預告、快報與經審計的歸母淨利潤存在較大差異 精華製藥(002349.SZ)收到警示函
格隆匯 11 月 8日丨精華製藥(002349.SZ)公佈，公司於2020年11月5日收到江蘇證監局《關於對精華製藥集團股份有限公司採取出具警示函措施的決定》({2020}104號)。現將內容公告如下：
精華製藥集團股份有限公司：經查,你公司存在以下違規行為：
2019年10月28日你公司披露的三季報對2019年度經營業績預計淨利潤範圍為-22500萬元至-15500萬元。2020年2月29日，你公司披露的2019年度業績快報顯示歸屬於上市公司股東淨利潤為-265,526,285.23元。2020年4月29日公司披露2019年年報顯示，歸屬於上市公司股東淨利潤為-393,617,953.72元。你公司2019年度業績預告、業績快報與經審計的歸屬上市公司股東淨利潤存在較大差異，信息披露不準確。
你公司的上述行為，不符合《上市公司信息披露管理辦法》第二條的規定。依據《上市公司信息披露管理辦法》第五十九條的規定，現決定對你公司採取出具警示函的行政監管措施，並記入證券期貨市場誠信檔案。請你公司按照相關法律、行政法規和中國證監會規定的要求，強化信息披露管理，嚴格按規定履行信息披露義務。全體董事、監事、高級管理人員應該加強相關證券法律法規的學習，切實提高規範意識和履職能力。
如果對本監管管理措施不服，可以在收到本決定書之日起60日內向中國證券監督管理委員會提出行政複議申請，也可以在收到本決定書之日起6個月內向有關轄權的人民法院提起訴訟。複議與訴訟期間，上述行政監管措施不停止執行。”
公司收到警示函後，高度重視警示函中指出的相關問題，立即組織相關人員研究整改措施，並將進一步加強對《深圳證券交易所股票上市規則》、《深圳證券交易所上市公司規範運作指引》、《上市公司信息披露管理辦法》等相關法律法規和規範性文件的學習，組織公司相關部門強化信息披露管理，健全信息披露制度並嚴格執行。公司將吸取教訓，進一步提高公司信息披露和規範運作水平，確保信息披露真實、準確、完整，切實保障中小股東的利益。
