君正集團(601216.SH)：擬以出售資產及現金認購方式 認購博暉創新股份
格隆匯 11 月 6日丨君正集團(601216.SH)公佈，公司全資子公司珠海奧森投資有限公司(“珠海奧森”)擬向北京博暉創新生物技術股份有限公司(“博暉創新”)以出售持有的上海博森管理諮詢有限公司100%股權(“標的資產”、“交易標的”)認購博暉創新非公開發行股份和擬以現金認購博暉創新為募集配套資金非公開發行股份兩部分。
出售資產認購博暉創新非公開發行股份事項：2020年2月17日、2020年11月6日，珠海奧森與博暉創新分別簽署了《發行股份購買資產協議》《發行股份購買資產協議之補充協議》。珠海奧森擬以出售其所持上海博森管理諮詢有限公司(“上海博森”、“標的公司”)100%股權的方式認購博暉創新非公開發行股份。此次交易價格是以上海博森100%股權的估值結果50696萬元人民幣為基準，並扣除上海博森的實收資本調整金額4224.25萬元人民幣後，經雙方協商確定上海博森100%股權定價為5750萬歐元，根據估值基準日中國人民銀行授權中國外匯交易中心公佈的歐元兑人民幣的中間價7.9610折算，此次交易價格為45775.75萬元人民幣。此次博暉創新非公開發行股份購買資產的發行價格為4.13元/股，以此為基礎計算珠海奧森擬以出售資產認購博暉創新非公開發行股份為11083.7167萬股，最終發行數量以深圳證券交易所(“深交所”)審核通過並經中國證監會同意註冊的數量為準。此次交易完成後，博暉創新將獲得上海博森100%股權，珠海奧森將成為博暉創新股東。
現金認購博暉創新非公開發行股份事項：2020年2月17日、2020年11月6日，珠海奧森與博暉創新分別簽署了《股份認購協議》《股份認購協議之補充協議》，珠海奧森擬以現金認購博暉創新為募集配套資金非公開發行的股份，博暉創新此次非公開發行股份募集配套資金不超過4.2億元人民幣，發行價格為4.13元/股，以此為基礎計算博暉創新擬向珠海奧森發行不超過10169.4915萬股股份，最終發行數量以深交所審核通過並經中國證監會同意注冊的數量為準。此次交易完成後，珠海奧森將成為博暉創新股東。
