新鳳鳴(603225.SH)披露子公司擬參與中嘉華宸能源及其子公司合併重整的進展
格隆匯 11 月 6日丨新鳳鳴(603225.SH)公佈，根據管理人於2020年4月20日發出的合併重整招募公告，中嘉華宸及其全資子公司温州華航、上海華晟和浙江中晟由於負債沉重，經營難以持續，亟需引入重整投資人，浙江省平湖市人民法院裁定中嘉華宸及其全資子公司温州華航、上海華晟和浙江中晟進行合併重整(“中嘉華宸及其全資子公司合併重整”)。重整企業中嘉華宸與公司全資子公司浙江獨山能源有限公司(“獨山能源”)地域相鄰，同在獨山港石化園區，其得天獨厚的地理位置能為公司“一洲兩湖”佈局提供戰略性區位資源。
鑑於上述原因公司參與了中嘉華宸及其全資子公司合併重整投資人招募，確認獨山能源為重整投資人，上述事項已經公司第四屆董事會第四十七次會議審議通過。
2020年8月10日，獨山能源與管理人簽署了《重整投資合同》，公司披露了相關進展公告。
近日，公司收到管理人通知，浙江省平湖市人民法院批准了此次《重整計劃草案》。根據相關法律法規及浙江省平湖市人民法院的民事裁定書，後續將進入重整計劃執行階段。
獨山能源根據債權人會議對《重整計劃草案》的審議情況，與管理人協商後，同意在其他原有條件不變的情況下，增加償債資金3090萬元，合計償債資金總額為64890萬元。管理人據此調整了《重整計劃草案》及相關配套文件，各債權人組表決通過了上述《重整計劃草案》。
2020年11月5日，公司收到管理人通知，其收到了《浙江省平湖市人民法院民事裁定書(2016)浙0482民破3號之六)》，裁定的主要內容如下：
一、批准中嘉華宸能源有限公司、温州華航能源有限公司、上海華晟能源化工有限公司、浙江中晟燃氣經營有限公司合併重整計劃草案；
二、終止中嘉華宸能源有限公司、温州華航能源有限公司、上海華晟能源化工有限公司、浙江中晟燃氣經營有限公司合併重整程序。
