廣深鐵路股份(00525.HK)擬將美國存托股份從紐交所退市
格隆匯 11 月 5日丨廣深鐵路股份(00525.HK)公告，廣深鐵路股份有限公司(“廣深鐵路”或“公司”；紐約證券交易所：GSH；香港聯合交易所：00525；上海證券交易所：601333)今日公告公司已於2020年11月5日(美國東部時間)通知紐約證券交易所本公司擬申請自願將其美國存托股份從紐約證券交易所退市及後續在場外市場交易，並擬在相關條件成熟後，根據一九三四年美國證券交易法(經修訂)(“交易法”)撤銷該等美國存托股份和相關普通股的註冊。
廣深鐵路董事會批准將其美國存托股份從紐約證券交易所退市，主要是綜合考慮為維持美國存托股份在紐約證券交易所上市及在美國證券交易委員會註冊並遵守交易法下的定期報告和其他相關義務所涉及的重大行政負擔和成本。
在將其美國存托股份從紐約證券交易所退市後，廣深鐵路計畫以1級形式保持美國存托股份項目，這將使美國投資者和廣深鐵路美國存托股份現有持有人能夠繼續持有廣深鐵路存托股份，和在美國場外市場進行交易。
一旦廣深鐵路已達到撤銷註冊的條件，廣深鐵路擬向美國證券交易委員會提交表格15F，以根據交易法撤銷該等美國存托股份和相關普通股的註冊。
此後，廣深鐵路根據交易法承擔的所有報告義務將被暫停，除非表格15F後續被撤回或退回。根據交易法撤銷廣深鐵路在美國證券交易委員會的註冊和終止其報告義務，預計將在向美國證券交易委員會提交表格15F後90天后生效。
一旦提交表格15F，廣深鐵路將根據交易法第12g3-2(b)條的要求，在其網站www.gsrc.com上披露信息。廣深鐵路也將繼續作為香港聯合交易所的上市發行人遵循其財務報告和其他義務。
因此，廣深鐵路擬於2020年十一月十六日或前後向美國證券交易委員會提交表格25，將其美國存托股份從紐約證券交易所退市。將美國存托股份從紐約證券交易所退市一事，預期將於提交表格25後十日生效。於該日期及該日期後，廣深鐵路的美國存托股份將不再於紐約證券交易所上市。
在上述提交生效前，廣深鐵路保留其延遲或撤回上述提交的所有方面權利，如有需要，亦將根據適用法律發佈任何進一步公告。
