格隆匯 11 月 5日丨連續3個漲停的*ST美訊(600898.SH)發佈風險提示公告，為提請投資者理性投資，現將公司相關事項進行風險提示如下：
一、公司重大資產重組尚存在不確定性的風險提示2020年11月2日，公司第十一屆董事會第五次會議審議通過了《國美通訊設備股份有限公司重大資產出售暨關聯交易報告書(草案)及其摘要》等相關議案。公司擬通過現金出售的方式向濟南國美電器有限公司出售濟南濟聯京美經貿有限公司(“濟聯京美”)100%的股權，本次交易構成關聯交易。具體內容詳見公司於2020年11月3日在上海證券交易所網站發佈的相關公告。
本次重大資產出售尚需公司股東大會審議通過方可實施，是否能取得股東大會批准及最終批准的時間均存在不確定性。公司鄭重提示投資者注意投資風險。
二、公司非公開發行股票事項尚存在不確定性的風險提示
2020年9月23日，公司第十一屆董事會第三次會議審議通過了《非公開發行股票預案》，公司擬向控股股東山東龍脊島建設有限公司及一致行動人北京戰聖投資有限公司非公開發行股票65,714,332股，募集資金不超過33,120.03萬元。具體內容詳見公司於2020年9月24日在上海證券交易所網站發佈的相關公告。2020年10月12日，公司2020年第三次臨時股東大會審議通過非公開發行股票預案及其他配套文件。2020年10月26日，中國證監會對公司非公開發行新股申請予以受理。
公司本次非公開發行股票事項尚需中國證監會進一步審核，能否獲得核准尚存在不確定性。公司將根據中國證監會對該事項的審核進展情況及時履行信息披露義務。敬請廣大投資者注意投資風險。
三、公司股票可能被暫停上市的風險提示
因公司最近兩個會計年度(2018年、2019年)經審計的淨利潤連續為負值，且2019年度經審計的期末淨資產為負值，根據《上海證券交易所股票上市規則》的相關規定，公司股票已自2020年4月30日起實施退市風險警示。
公司於2020年10月31日披露了《2020年第三季度報告》，公司2020年1-9月實現歸屬於上市公司股東的淨利潤為-1.92億元，截止9月30日歸屬於上市公司股東的淨資產為-3.29億元。根據《上海證券交易所股票上市規則》第14.1.1條等相關規定，若公司出現2020年度經審計的淨利潤繼續為負值、或2020年度經審計的期末淨資產繼續為負值的情形，公司股票將可能被暫停上市。敬請廣大投資者注意投資風險。
四、公司主營業務盈利能力的風險提示
公司本年度通過出售浙江德景電子科技有限公司100%股權之重大資產重組，資產質量和財務狀況有所改善，但公司主營業務未發生變化，由於受到行業因素及公司自身因素的影響，公司主營業務規模較低，盈利能力具有一定的不確定性。如公司仍持續虧損或者淨資產仍持續為負，則存在暫停上市風險，敬請投資者關注相關風險。
