H&H國際控股(01112.HK)擬12.636億港元收購美國全方位寵物營養品公司Solid Gold的100%權益
格隆匯 11 月 5日丨H&H國際控股(01112.HK)發佈公告，2020年11月4日，Health and Happiness (H&H) US International Incorporated(即買方，公司的間接全資附屬公司)與賣方及目標公司訂立股本證券購買協議，據此，根據股本證券購買協議的條款及條件，買方同意收購而賣方同意出售目標股權，現金代價為1.63億美元(相當於約12.636億港元)(可能進行若干調整)。
根據股本證券購買協議所載條款及條件，買方同意向賣方購買及收購Solid Gold的100%直接及間接所有者權益，方式為收購目標股權A賣方的73.2%直接所有者權益、VMG Blocker的全部股權(持有Solid Gold的12.3%間接所有者權益)及賣方C Blocker的全部股權(持有Solid Gold的14.5%間接所有者權益)，現金代價為1.63億美元(可能進行若干調整)。
Solid Gold於45年前創立，定位為美國首間全方位寵物營養品公司，以開拓創新精神為本，打造出強勢品牌及貓狗優質營養品解決方案的高端產品系列。結合Solid Gold的特點、強勁需求增長走勢(受寵物數量快速增長及寵物人性化趨勢驅動)以及於新興市場的低滲透率，令這項建議相當具説服力。
Solid Gold主要透過其直接全資附屬公司在全球各地銷售天然的全方位寵物營養品。儘管Solid Gold於美國市場進行大部分銷售，但亦根據獨家分銷協議通過一名分銷商向中國銷售產品，截至2020年9月30日止十二個月佔其總銷售額近30%。該獨家分銷協議將於2023年3月28日屆滿(可予重續)。公司將就目標公司於所有地區市場(包括中國)的業務評估其策略，並可能於收購事項完成後適時更改Solid Gold於不同市場的分銷渠道。董事認為，收購事項將使集團能在適當時機設立寵物營養及護理用品作為其第三大業務分部，令集團的未來增長前景向好。
