電廣傳媒(000917.SZ)：以部分有線網絡公司股權出資參設中國廣電網絡股份有限公司
格隆匯 11 月 4日丨電廣傳媒(000917.SZ)公佈，公司以自有資金2億元人民幣,及公司全資子公司華豐達有線網絡控股有限公司(“華豐達”)持有的湖南省有線電視網絡(集團)股份有限公司(“湖南有線”)51%股份、廣州珠江數碼集團股份有限公司(“珠江數碼”)22.5%股份和天津廣播電視網絡有限公司(“天津網絡”)4.9918%的股權，及華豐達全資子公司天津虹橋科技投資集團有限公司持有的天津網絡8.7533%的股權與中國廣播電視網絡有限公司(“中國廣電”)等發起人共同發起組建中國廣電網絡股份有限公司(“廣電股份”)事項已經公司第六屆董事會第六次會議、2020年第二次臨時股東會審議通過。2020年9月25日中國廣電網絡股份有限公司已經完成工商登記並取得了工商行政管理部門核發的營業執照。
目前公司上述以股權出資的資產已完成資產評估，該部分股權擬按照以2019年12月31日為評估基準日確定的評估值進行實繳出資。此次股權實繳出資事項還需要提交公司股東大會審議，同時，尚需履行國有資產監督管理部門有關報批(備案)程序。
為了實現全國有線電視網絡的統一運營管理、國有資產的保值增值，建設具有廣電特色的5G網絡並賦能有線電視網絡，完成以全國互聯互通平台為基礎的有線電視網絡IP化、智能化改造，促進有線電視網絡轉型升級，實現全國一網與5G的融合發展，中國廣電聯合其他45名發起人共同發起組建中國廣電網絡股份有限公司。公司參與發起組建中國廣電網絡股份有限公司，有利於公司深度參與全國一網整合及廣電5G建設，符合公司和全體股東利益。
此次交易完成後，湖南有線將不再納入公司合併報表範圍，對公司資產、收入結構將產生較大影響。但同時，通過此次整合，有利於公司進一步推動產業結構調整，聚焦投資和文旅兩大優勢業務板塊，加大投資業務發展力度，全力培育文旅支柱產業，戰略方向進一步明確，業務發展重點日益清晰。
此次股權出資事項計劃在2020年12月31日前完成實繳，預計對公司2020年度損益影響約7994萬元，具體影響數據以年審會計師審計結果為準。
