掌閲科技(603533.SH)：豁免公司控股股東、實控人股份自願性減持比例承諾
格隆匯 11 月 4日丨掌閲科技(603533.SH)公佈，公司近日收到控股股東、實際控制人成湘均先生、張凌雲先生髮來的《關於豁免履行自願性股份減持比例承諾的申請》，申請豁免其在公司首次公開發行股票時做出的自願性股份減持比例承諾。
2020年11月4日，公司第二屆董事會第二十二次會議、第二屆監事會第十九次會議審議通過了《關於豁免公司控股股東、實際控制人自願性股份減持比例承諾的議案》，同意豁免公司控股股東、實際控制人在公司首次公開發行股票時作出的股份自願性減持比例承諾事項，並同意將該議案提交至公司2020年第四次臨時股東大會審議。在董事會審議本議案時關聯董事張凌雲、成湘均迴避表決。
近年來互聯網行業競爭逐漸加劇，尤其是短視頻等新的內容形態逐漸佔據更多用户流量，公司所面臨的競爭對手多為大體量的互聯網平台型公司，面臨較大的競爭壓力，而和大型平台公司通過股權關係加深業務合作是互聯網行業常見案例。公司控股股東、實際控制人成湘均、張凌雲申請豁免其在公司上市時候作出的部分承諾，是以引入字節跳動旗下量子躍動為公司的重要股東為前提，引入重要股東有利於公司進一步引入優勢資源，有利於促進公司整體業務發展，並與其關聯方字節跳動深化合作，有利於公司從公司治理、業務資源等方面整體提升公司競爭力，有利於為全體股東創造更大的價值。如繼續遵守上市時作出的相關減持意向的承諾，將導致本次交易無法實現，不利於上市公司的長期發展，也不利於引入新的投資人為上市公司股東創造更大價值。此外，本次引進的重要股東就相關受讓的股份亦做出了超過協議受讓法規規定的6個月的鎖定安排，受讓方量子躍動承諾自本次股份轉讓完成之日起，受讓股份中的70%部分18個月內不得轉讓，如共管賬户中第三期轉讓價款中的2.2億元(對應股份轉讓價款總額的20%)最終根據約定應釋放給轉讓方，受讓方將就受讓股份中的剩餘30%部分在法定鎖定期屆滿後進一步延長鎖定期至本次股份轉讓完成之日起18個月。同時公司控股股東、實際控制人承諾除了本次受讓對象之外，自解除限售期滿後兩年內不再向其他方減持公司股票。
為此，公司控股股東、實際控制人成湘均和張凌雲根據《公司法》、《證券法》、《上海證券交易所股票上市規則》及《上市公司監管指引第4號——上市公司實際控制人、股東、關聯方、收購人以及上市公司承諾及履行》的規定，申請豁免其首次公開發行股票時所作出的自願性股份減持比例承諾。
