中國燃氣(00384.HK)與福建新能源及福投股份訂立合作框架協議
格隆匯 11 月 3日丨中國燃氣(00384.HK)宣佈，於2020年11月3日，廣東中燃海油能源發展有限公司(為集團與氣電集團旗下公司成立的合資公司()"中燃海油")與中海石油福建新能源有限公司(為氣電集團及福投股份合資成立的一家公司()"福建新能源")及福建省福投新能源投資股份公司("福投股份")訂立合作框架協議。據此，三方同意共同投資福建新能源現有的城市燃氣項目，充分發揮各方優勢，加快項目建設進度和三方利益最大化。根據合作框架協議，三方同意以下合作內容：
1.成立全資子公司
福建新能源現時擁有福建省尤溪、明溪、順昌、光澤及仙遊縣市("該等縣市")的管道燃氣特許經營權。該等縣市合共擁有超過220萬人口及眾多潛在的工商業用户市場，天然氣需求強勁。福建新能源同意於該等縣市城燃項目所在地成立五家全資子公司，並將五個相關城燃項目資產相應納入該等子公司名下。
2.增資擴股
福建新能源同意促成該等子公司增資擴股，引入福投股份和中燃海油作為股東。三方同意，增資後，該等子公司由集團進行運營管理，引入集團的管理模式，充分提升項目的規模與盈利能力。
這是繼2019年1月21日，集團與氣電集團於廣東省合資成立中燃海油，發展廣東省天然氣業務之後，雙方再次攜手，共同發展福建省的城市燃氣業務。一方面氣電集團能利用其液化天然氣接收站和資源優勢為終端項目(包括雙方進行合資的終端項目)的用氣需求進行資源供應與保供；另一方面集團能充分發揮其終端項目管理及物流體系的優勢，進一步加快用户開發與天然氣利用。中燃海油目前在廣東省(尤其是大灣區內)的市場發展勢頭良好，項目拓展順利，已經擁有大量的工商業用户。
自公司於2018年8月30日與氣電集團訂立戰略合作框架協議以來，雙方在項目投資，氣源供應與採購方面合作緊密，目前，集團已成為氣電集團在中國最大的液化天然氣分銷商。
