大禹節水(300021.SZ)：擬實現對慧圖科技的控股
格隆匯 11 月 3日丨大禹節水(300021.SZ)公佈，公司以其持有的北京樂水新源智能水務科技有限責任公司51%股權、雲南大禹智慧水務科技有限公司100%股權、杭州大禹慧水科技有限公司100%股權對參股公司北京慧圖科技股份有限公司(“慧圖科技”或“目標公司”)增資並認購其新發行股份7259.695萬股，同時受讓目標公司股東北京智慧宏圖企業管理諮詢有限公司、廖華軒、崔靜持有的目標公司1200萬股股份。
此次增資及目標股份轉讓完成後，目標公司成為公司的控股子公司；公司直接持有和通過新餘泓晟投資合夥企業(有限合夥)間接持有目標公司130,809,706股，佔比57.05%。
慧圖科技擁有完備的水行業信息化解決方案，擁有多個具有自主知識產權的軟硬件產品，能為客户提供基於智慧水聯網、智慧水生態平台、農業科技物聯網、應急管理等行業的數據採集、應用及決策支持服務，能讓客户獲得透徹感知、全面物聯、整合共享、智能應用的全方位服務。
公司全面推行“三農三水三張網、兩手發力共擔當”戰略發展理念，加速推動物聯網、大數據、區塊鏈、人工智能、第五代移動通信網絡、智慧氣象等現代信息技術在農業和水利領域的應用。通過此次投資，慧圖科技成為公司的控股子公司，是公司完成智慧水務業務內部和外部資源整合的重要里程碑。智慧水務業務是公司重點支持並獨立面向市場的專業板塊，承載了水網、信息網、服務網“三網融合”機制當中重要一環即信息網的平台職能，整體提升了公司農業科技和服務能力，並且進一步完善公司產業佈局，更好的拓展市場空間，提高公司的綜合競爭實力，為公司未來持續發展打下堅實基礎。
此次對外投資符合公司戰略發展，是優勢互補的資源整合。此次增資前，目標公司對其資產負債進行了系統梳理並完成了相應審計評估工作。此次增資依據以目標公司經評估的每股權益價值作為定價依據，公司以其持有的北京樂水51%股權、雲南大禹智慧100%股權、杭州大禹慧水100%股權作價出資。通過此次對外投資，公司實現對慧圖科技的控股，有利於增強企業的核心競爭力，符合公司的長遠發展戰略。
