迪瑞醫療(300396.SZ)：豁免實控人及一致行動人自願性股份鎖定承諾
格隆匯 11 月 1日丨迪瑞醫療(300396.SZ)公佈，公司於2020年10月30日，召開第四屆董事會第十一次臨時會議和第四屆監事會第三次臨時會議，審議通過了《關於豁免公司實際控制人及一致行動人自願性股份鎖定承諾的議案》。關聯董事宋潔已迴避表決，獨立董事發表了同意的獨立意見，監事會發表了同意意見。
根據《上市公司監管指引第4號——上市公司實際控制人、股東、關聯方、收購人以及上市公司承諾及履行》的相關規定，上述豁免承諾事項尚需提交公司股東大會審議通過，方可生效。
鑑於2020年8月24日，公司控股股東晉江瑞發及一致行動人宋勇、宋潔與深圳市華德欣潤股權投資企業(有限合夥)(“華德欣潤”)簽署了《晉江瑞發投資有限公司與深圳市華德欣潤股權投資企業（有限合夥）及宋勇、宋潔關於迪瑞醫療科技股份有限公司之股權轉讓協議》，以及宋勇與華德欣潤簽署了《關於放棄行使表決權的協議》。同日，晉江瑞發、宋勇、宋潔與廣東廣恆順投資有限公司簽署了《晉江瑞發投資有限公司與廣東廣恆順投資有限公司及宋勇、宋潔關於迪瑞醫療科技股份有限公司之股權轉讓協議》。同日，晉江瑞發與易湘蘋、宋潔及宋超簽署了《關於迪瑞醫療科技股份有限公司之股權轉讓協議》。
為推進本次股份轉讓的順利實施，公司實際控制人宋勇先生和董事長宋潔女士向公司發來《關於申請豁免自願性股份鎖定承諾的函》，申請豁免宋勇和宋潔在首次公開發行股票時作出的有關自願性股份鎖定承諾。
公司實際控制人及一致行動人申請豁免其作出的股份鎖定承諾是基於上市公司長遠發展需要，擬讓渡公司控制權，上述承諾事項的豁免有助於為公司引入具備產業協同能力和資金實力的控股股東，完善公司治理，維護上市公司權益，保護中小投資者利益。
根據《4號指引》的規定，公司董事會提請由股東大會作出豁免公司實際控制人及一致行動人自願性股份鎖定承諾的決議。
