格力地產(600185.SH)擬122.15億元收購免税集團100%股權
格隆匯 10 月 30日丨格力地產(600185.SH)公佈，為了響應建設粵港澳大灣區政策，促進企業轉型升級、優化產業結構，實現企業高質量發展，格力地產擬向珠海市國資委、城建集團發行股份並支付現金，購買其持有的珠海市免税企業集團有限公司(“免税集團”)100%的股權，此次交易完成後，免税集團將成為公司的全資子公司。
同時，格力地產擬向通用技術集團下屬公司通用投資非公開發行股份募集配套資金，募集配套資金總額不超過8億元，且不超過格力地產以發行股份方式購買免税集團股權交易價格的100%，發行股份數量不超過186,046,511股，不超過此次交易前格力地產總股本的30%。募集配套資金在扣除中介機構費用和相關税費後，將用於支付此次交易的現金對價。如此次交易中募集配套資金未能獲准實施或實際募集資金金額小於募集資金用途的資金需求量，則不足部分由格力地產以自籌資金補足。
此次交易的標的資產為免税集團100%股權。根據中聯評估出具的中聯評報字【2020】第1766號《資產評估報告》，此次交易中，中聯評估對免税集團100%股權採用了收益法和資產基礎法兩種方法進行評估，並選用收益法評估結果作為此次評估結論。截至評估基準日2020年3月31日，模擬合併口徑的免税集團歸屬於母公司股東全部權益價值賬面值約32.86億元，股東全部權益價值的評估值為125.66億元，較其賬面價值增值92.80億元，增值率282.43%。
評估基準日後，免税集團向珠海市國資委利潤上繳3.51億元。根據上述評估結果，並綜合考慮評估基準日後免税集團的利潤上繳情況，經上市公司與珠海市國資委和城建集團協商，確定免税集團100%股權的交易價格約122.15億元。
此次交易對價採用發行股份及支付現金的方式進行支付，其中以發行股份支付對價為114.15億元，佔此次交易對價的93.45%；以現金支付8億元，佔此次交易對價的6.55%。
交易對方承諾標的資產免税業務部分於2021年度、2022年度、2023年度實現的淨利潤分別不低於人民幣55037.54萬元、64072.18萬元、74668.19萬元。
根據珠海市國資委下發的《關於部分企業託管的通知》，因國企改革和市管企業主要領導調整，珠海市國資委決定，由免税集團託管海投公司。託管時間從2020年1月9日至市屬企業重組整合方案印發實施之日止。截至報告書籤署日，珠海市國資委、免税集團、海投公司未簽署相關託管協議。
此外，根據《關於無償劃轉海投公司100%股份的通知》(珠國資[2020]79號)，珠海市國資委擬將持有的海投公司100%股份無償劃轉至免税集團。截至報告書籤署日，珠海市國資委與免税集團尚未簽署無償劃轉協議，且上述劃轉尚未辦理相關部門的審批手續以及工商變更登記。
鑑於此次重組交易屬於珠海市屬國有企業重組整合的一部分，上述託管關係計劃將於珠海市國資委、城建集團和格力地產簽署的《發行股份及支付現金購買資產協議》的生效之日起終止，上述無償劃轉事項於上述協議生效之日起解除。
因此，海投公司未納入免税集團的合併報表範圍，此次標的資產不包含海投公司100%股權。
