中材国际(600970.SH)：拟收购中国建材等公司的水泥工程、矿山工程等工程承包业务 11月2日起复牌
格隆汇 10 月 30日丨中材国际(600970.SH)公布，公司拟向建材国际工程、建材研究总院发行股份购买其持有的北京凯盛100%股权。
公司拟向建材国际工程、冯建华等49名自然人支付现金购买其持有的南京凯盛98%股权。其中，公司拟向建材国际工程支付现金购买其持有的南京凯盛51.15%股权，公司拟向冯建华等49名自然人支付现金购买其持有的南京凯盛46.85%股权。
公司拟向中国建材发行股份购买其持有的中材矿山的100%股权。
此次交易中，公司拟向不超过35名符合条件的特定投资者以非公开发行股份的方式募集配套资金。募集配套资金总额不超过此次重组交易价格的25%，且发行股份数量不超过此次交易前上市公司总股本的30%。最终的发行数量及价格按照中国证监会的相关规定确定。
此次重组完成后，公司将完成对中国建材集团优质水泥工程、矿山工程建设与采矿服务资产的整合，公司的业务规模将进一步扩大，主营业务及核心竞争优势进一步凸显，有利于巩固公司在水泥工程领域的全球领先地位。
公司拥有从水泥工程技术研发，到工程设计、专业装备制造、工程建设、设备安装、生产线调试、生产线维护和运营管理的完整产业链资源、专业人才队伍和系统解决方案。北京凯盛、南京凯盛和中材矿山均是中国建材集团内重点工程承包企业。其中，北京凯盛及其前身是我国水泥预分解技术的提出人、我国水泥预分解技术试验室试验、工业试验的率先完成人；南京凯盛已完成多项工程总承包、工程设计、装备技改等各类项目；中材矿山则是国家级矿山施工领军企业。
此次重组完成后，公司将把三家标的公司纳入整体业务体系，扩大在水泥工程领域的业务规模和影响力，拓展矿山工程与采矿服务的业务能力，进一步完善公司的核心产业链。同时，公司将不断加强内部协同，推动水泥技术装备工程全产业链的价值重塑和布局优化，更好地适应市场需求，形成协同发展、互相促进、资源共享的良性互动。
截至预案签署日，公司及标的公司均为中国建材集团下属企业，且标的公司主营业务为水泥工程、矿山工程等工程承包业务，与公司主营业务存在部分重合。此次交易完成后，将有助于消除和避免公司与各标的公司之间的同业竞争，有效维护公司及公司中小股东的合法权益。
经向上海证券交易所申请，公司股票将于2020年11月2日开市起复牌。
