領益智造(002600.SZ)：攜手光弘、華勤在越南投資 拓展組裝製程及深化海外業務
格隆匯10月29日丨領益智造(002600.SZ)宣佈，公司擬與光弘科技(300735.SZ)、Inditeck Technology Hong Kong Limited(拓印科技香港有限公司，下稱“拓印科技”)簽署《投資合作協議》。
光弘科技子公司光弘科技電子(香港)有限公司(下稱“光弘香港”)持有光弘科技(投資)有限公司(下稱“光弘投資”)65.00%股權，拓印科技持有光弘投資35.00%股權。光弘投資註冊資本為1000萬港元。
光弘香港擬將其持有的光弘投資14.00%股權(對應註冊資本140萬港元)以140萬港元的價格轉讓至領益智造全資子公司TRIUMPH LEAD (SINGAPORE) PTE. LTD.，拓印科技擬將其持有的光弘投資10.50%股權(對應註冊資本105萬港元)以105萬港元的價格轉讓至領益智造全資子公司TRIUMPH LEAD (SINGAPORE) PTE. LTD.。
上述轉讓完成後，光弘香港持有光弘投資51.00%股權，拓印科技持有光弘投資24.50%股權，領益智造通過全資子公司TRIUMPH LEAD (SINGAPORE)PTE. LTD.持有光弘投資24.50%股權；同時各方同意通過光弘投資共同出資1.2億美元設立越南子公司(“目標公司”)，其中2500萬美元為註冊資本。按出資比例，公司對應的投資金額為2940萬美元。
目標公司暫定名為DBG Technology (Vietnam) Co. Ltd.，註冊資本2500萬美元，其主要經營範圍為3C產品(電腦、通訊產品、和消費性電子不限於智能手機、平板、智能穿戴等)和物聯網產品、汽車電子、工業控制等產品的研發、生產和銷售。
據悉，拓印科技法定代表人為崔國鵬，是一家從事貿易為主營業務的公司，其100%股權由海勤通訊香港有限公司持有，而海勤通訊香港有限公司100%股權由華勤技術有限公司持有。
公司表示，該次交易有利於公司在組裝製程的拓展和海外業務的深化，能為結構件帶來更多的商業整合機會；有利於擴大公司業務佈局，提高公司市場佔有率，增強核心競爭力。
