葛洲壩(600068.SH)：中國能源建設擬換股吸收合併公司
格隆匯 10 月 27日丨葛洲壩(600068.SH)公佈，中國能源建設擬通過向葛洲壩除葛洲壩集團以外的股東發行A股股票的方式換股吸收合併葛洲壩。此次合併完成後，葛洲壩將終止上市，接收方將承繼及承接葛洲壩的全部資產、負債、業務、合同、資質、人員及其他一切權利與義務，葛洲壩最終將註銷法人資格。中國能源建設因此次合併所發行的A股股票將申請在上交所主板上市流通。中國能源建設原內資股將轉換為A股並申請在上交所主板上市流通。
葛洲壩A股換股價格：
葛洲壩換股價格為8.76元/股。綜合考慮股票價格波動的風險並對葛洲壩換股股東進行風險補償，葛洲壩換股價格以定價基準日前20個交易日的均價6.04元/股為基準，給予45%的溢價率，即8.76元/股。
若葛洲壩自定價基準日起至換股日(包括首尾兩日)發生派送現金股利、股票股利、資本公積金轉增股本、配股等除權除息事項，則上述換股價格將作相應調整。其他情況下，葛洲壩換股價格不再進行調整。
中國能源建設A股發行價格：
中國能源建設本次A股發行價格為1.98元/股。中國能源建設發行價格是以兼顧合併雙方股東的利益為原則，綜合考慮合併雙方的總體業務情況、盈利能力、增長前景、抗風險能力、行業可比公司估值水平等因素綜合確定的。
若中國能源建設自定價基準日起至換股日(包括首尾兩日)發生派送現金股利、股票股利、資本公積金轉增股本、配股等除權除息事項，則上述發行價格將作相應調整。其他情況下，中國能源建設發行價格不再進行調整。
換股比例：
換股比例計算公式為：換股比例=葛洲壩A股換股價格÷中國能源建設A股發行價格(計算結果按四捨五入保留四位小數)。此次中國能源建設換股吸收合併葛洲壩的換股比例為1:4.4242，即葛洲壩換股股東所持有的每股葛洲壩股票可以換得4.4242股中國能源建設本次發行的A股股票。
若合併雙方任何一方自定價基準日起至換股日(包括首尾兩日)發生派送現金股利、股票股利、資本公積金轉增股本、配股等除權除息事項，則上述換股比例將作相應調整。其他情況下，換股比例不再進行調整。
此次換股吸收合併後，中國能源建設主營業務未發生變更，中國能源建設和葛洲壩將實現資源全面整合，消除潛在同業競爭，業務協同效應將得到充分釋放。合併後存續公司的綜合服務能力將進一步提升。中國能源建設、葛洲壩將通過資產、人員、品牌、管理等各個要素的深度整合，進一步增強核心競爭力和行業影響力。
