愛帝宮(00286.HK)擬向聯席主席兼行政總裁朱昱霏發行最多2億股獎勵股份
格隆匯 10 月 28日丨愛帝宮(00286.HK)發佈公告，2020年10月27日，公司與朱昱霏女士的聯繫人訂立獎勵協議，據此，視乎及根據新月子中心於獎勵基準期間的利潤淨額金額，則朱昱霏女士的聯繫人將有權獲得獎勵股份。
公司將向朱昱霏女士的聯繫人發行的最高獎勵股份數目為2億股獎勵股份，相當於公司於該公告日期的已發行股本約5.22%及公司透過發行最高獎勵股份數目後擴大的已發行股本約4.96%。每股獎勵股份發行價0.55港元較於獎勵協議日期收市價0.51港元溢價約7.84%。根據獎勵協議將予以發行的獎勵股份將根據獨立股東於股東特別大會上尋求的特別授權予以發行，公司將向聯交所申請批准獎勵股份上市及買賣。
朱昱霏女士為公司執行董事、董事會聯席主席兼行政總裁，其自於2007年11月成立愛帝宮起一直擔任其創始人、主席、總經理兼董事。朱昱霏女士的聯繫人為一間於英屬處女島註冊成立的投資控股有限公司，朱昱霏女士的聯繫人由朱昱霏女士全資擁有。
公告表示，隨着月子服務行業的持續增長，月子中心的市場滲透率的不斷提升，越來越多產後媽媽選擇接受月子中心提供的月子服務。“愛帝宮”品牌月子中心以其科學專業的母嬰健康照護技術、優質服務獲得客户的好評及不斷追捧。由於現時“愛帝宮”品牌月子中心只在深圳、北京、成都開設，愛帝宮一直不斷收到來自全國各地其他不同城市的客户要求提供月子服務的需求。另一方面，在集團現有已開設月子中心的深圳、北京、成都，由於入住房間經常飽和，出現部分產後媽媽未能預訂入住的情況。因此，也不斷收到上述城市的客户希望增加月子中心服務的需求。過去數年需求詢問不斷、愛帝宮的客户數量及收入日益增加，集團計劃於現有城市增設及全國其他一線及新一線城市為主新設“愛帝宮”品牌月子中心以擴大服務的覆蓋區域，讓更多的人羣能夠享受月子服務。
